G. Inspection and Audit. The City and its duly authorized representatives shall have access to any
<br />books, documents, papers, and records of the Contractor related to this Contract for the
<br />purpose of making audits, examinations, excerpts, and transcriptions.
<br />H. Insurance Requirements.
<br />1. Policies. The Contractor and its subcontractors, if any, will procure and keep in force
<br />during the duration of this Contract the following insurance policies and will provide
<br />the City with a certificate of insurance evidencing upon execution of this Contract:
<br />(i) Comprehensive general liability insurance insuring the Contractor and naming
<br />the City as an additional insured with minimum combined single limits of one
<br />million dollars ($1,000,000) each occurrence and two million dollars ($2,000,000)
<br />aggregate. The policy will be applicable to all premises and operations. The
<br />policy will include coverage for bodily injury, broad form property damage
<br />(including completed operations), personal injury (including coverage for
<br />contractual and employee acts), blanket contractual, independent contractors,
<br />products, and completed operations. The policy will contain a severability of
<br />interests provision.
<br />(ii) Professional liability insurance insuring the Contractor against any professional
<br />liability with a limit of at least one million dollars ($1,000,000) per claim and
<br />annual aggregate.
<br />(iii) Workers' compensation insurance and all other insurance required by any
<br />applicable law.
<br />2. Requirements. Required insurance policies will not be cancelable or subject to
<br />reduction in coverage limits or other modification except after thirty (30) days prior
<br />written notice to the City. The Contractor coverage is "occurrence". Comprehensive
<br />general policy will be for the mutual and joint benefit and protection of the Contractor.
<br />The Contractor's general liability insurance shall be endorsed to include the City as
<br />additional insured. Such policies will provide the City, although named as an additional
<br />insured, be entitled to recover under said policies for any loss occasioned to it, its
<br />officers, employees, and agents by reason of negligence of the Contractor, its officers,
<br />employees, agents, subcontractors, or business invitees. Such policies will be written
<br />as primary policies not contributing to and not in excess of coverage the City may carry.
<br />I. Marketing and Advertisement. Any and all Program descriptions, including print, broadcast
<br />or electronic media, intended to promote the availability of financial services must be
<br />submitted to Contractor for final approval prior to release. Contractor reserves the right to
<br />amend or supplement such descriptions as necessary, in its opinion, to maintain compliance
<br />with federal and state regulation.
<br />J. Miscellaneous. This Contract contains the entire agreement of the Parties relating to the
<br />subject matter hereof and, except as provided herein, may not be modified or amended except
<br />by written agreement of the Parties. In the event a court of competent jurisdiction holds any
<br />provision of this Contract invalid or unenforceable, such holding shall not invalidate or render
<br />unenforceable any other provision of this Contract. This Contract shall be governed by the
<br />laws of the State of Colorado, and venue shall be in the County of Boulder, State of Colorado.
<br />K. Notices. Written notices shall be directed as follows and shall be deemed received when hand -
<br />delivered, emailed with proof of receipt, sent by overnight commercial courier, or three (3)
<br />days after being sent by certified mail, return receipt requested:
