RESOLUTION NO. 85 <br />SERIES 2025 <br />A RESOLUTION APPROVING A SECOND ADDENDUM TO THE AGREEMENT WITH <br />KIMLEY-HORN & ASSOCIATES FOR THE C042 PROJECT <br />WHEREAS, the City and Kimley-Horn & Associates are parties to an Agreement <br />for Consulting Services dated September 5, 2023, and an Addendum thereto dated <br />December 3, 2024 (collectively, the "Original Agreement") for design plans, right-of-way <br />acquisition, and utility coordination for the State Highway 42 project; and <br />WHEREAS, a Second Addendum to the Original Agreement has been proposed <br />to include thirty percent (30%) design plans for the portion of State Highway 42 from <br />Paschal Drive to Baseline Road in Lafayette; and <br />WHEREAS, by this resolution the City Council desires to approve the Second <br />Addendum. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />Section 1. The City Council hereby approves the Second Addendum to the <br />Original Agreement by and between the City of Louisville and Kimley-Horn & Associates, <br />Inc. for the State Highway 42 project (the "Addendum") in substantially the same form as <br />the copy of such Addendum accompanying this Resolution. <br />Section 2. The Mayor, City Manager, City Clerk, and/or Public Works Director <br />are hereby authorized to execute the Addendum on behalf of the City, and the Mayor is <br />hereby further authorized to negotiate and approve such revisions to the Addendum as <br />the Mayor determines are necessary or desirable for the protection of the City, so long as <br />the essential terms and conditions of the Addendum are not altered. <br />PASSED AND ADOPTED this 21st day of October 2025. <br />ATTEST: <br />• <br />Genn KI' e, City Clerk <br />Christopl'M.
