RESOLUTION NO. 58 <br />SERIES 2025 <br />A RESOLUTION APPROVING A DESIGN -BUILD SERVICES AGREEMENT WITH <br />RHINOTRAX CONSTRUCTION FOR THE COAL CREEK GOLF COURSE <br />MAINTENANCE STORAGE BUILDING PROJECT <br />WHEREAS, the City of Louisville desires to engage Rhinotrax Construction, Inc. for <br />services related to the design and construction of the Coal Creek Golf Course Maintenance <br />Storage Building Project (the "Project"); and <br />WHEREAS, a contract between the City and Rhinotrax Construction, Inc. has been <br />proposed for such purpose; and <br />WHEREAS, the City Council finds that the proposed contract is in the best interests <br />of the City and its citizens, and by this resolution desires to approve the contract, authorize <br />its execution, authorize the execution of a Guaranteed Maximum Price (GMP) Amendment <br />to the contract, and approve contingency for the Project. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />Section 1. The City Council hereby approves the Design -Build Services <br />Agreement between Rhinotrax Construction, Inc. and the City of Louisville for the Coal <br />Creek Golf Course Maintenance Storage Building Project, in substantially the same form as <br />the copy of such Agreement accompanying this resolution. <br />Section 2. The Mayor is hereby authorized to execute the Agreement on behalf <br />of the City Council of the City of Louisville, except that the Mayor is hereby further authorized <br />to negotiate and approve such revisions to the Agreement as the Mayor determines are <br />necessary or desirable for the protection of the City, so long as the essential terms and <br />conditions of the Agreement are not altered. <br />Section 3. The Mayor, City Manager, Director of Parks, Recreation & Open <br />Space, and City Staff are hereby authorized and directed to do all things necessary on behalf <br />of the City to perform the obligations of the City under the Agreement, including without <br />limitation that the City Manager is authorized to execute and deliver a GMP Amendment to <br />the Agreement; provided, however, that the City shall not be obligated for the Construction <br />Phase services for the Project unless and until the GMP Amendment has been executed <br />by the City Manager. <br />Section 4. The City Council hereby approves an additional $43,952.76 in <br />contingency for the Project for a total not -to -exceed amount of $519,733.76 and <br />authorizes the Director of Parks, Recreation & Open Space to execute change orders if <br />deemed necessary for the Project. <br />Resolution No. 58, Series 2025 <br />Page 1 of 2 <br />
