RESOLUTION NO. 58 SERIES 2025 A RESOLUTION APPROVING A DESIGN -BUILD SERVICES AGREEMENT WITH RHINOTRAX CONSTRUCTION FOR THE COAL CREEK GOLF COURSE MAINTENANCE STORAGE BUILDING PROJECT WHEREAS, the City of Louisville desires to engage Rhinotrax Construction, Inc. for services related to the design and construction of the Coal Creek Golf Course Maintenance Storage Building Project (the "Project"); and WHEREAS, a contract between the City and Rhinotrax Construction, Inc. has been proposed for such purpose; and WHEREAS, the City Council finds that the proposed contract is in the best interests of the City and its citizens, and by this resolution desires to approve the contract, authorize its execution, authorize the execution of a Guaranteed Maximum Price (GMP) Amendment to the contract, and approve contingency for the Project. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: Section 1. The City Council hereby approves the Design -Build Services Agreement between Rhinotrax Construction, Inc. and the City of Louisville for the Coal Creek Golf Course Maintenance Storage Building Project, in substantially the same form as the copy of such Agreement accompanying this resolution. Section 2. The Mayor is hereby authorized to execute the Agreement on behalf of the City Council of the City of Louisville, except that the Mayor is hereby further authorized to negotiate and approve such revisions to the Agreement as the Mayor determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions of the Agreement are not altered. Section 3. The Mayor, City Manager, Director of Parks, Recreation & Open Space, and City Staff are hereby authorized and directed to do all things necessary on behalf of the City to perform the obligations of the City under the Agreement, including without limitation that the City Manager is authorized to execute and deliver a GMP Amendment to the Agreement; provided, however, that the City shall not be obligated for the Construction Phase services for the Project unless and until the GMP Amendment has been executed by the City Manager. Section 4. The City Council hereby approves an additional $43,952.76 in contingency for the Project for a total not -to -exceed amount of $519,733.76 and authorizes the Director of Parks, Recreation & Open Space to execute change orders if deemed necessary for the Project.
