RESOLUTION NO. 99 <br />SERIES 2025 <br />A RESOLUTION APPROVING AN INDEPENDENT CONTRACT AGREEMENT WITH <br />CLIFTONLARSONALLEN LLP <br />WHEREAS, an Independent Contractor Agreement has been proposed between <br />the City and CliftonLarsonAllen LLP for utility billing services; and <br />WHEREAS, by this Resolution, the City Council desires to approve such agreement. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />Section 1. The City Council hereby approves the Independent Contractor <br />Agreement between the City and CliftonLarsonAllen LLP for utility billing services (the <br />"Agreement") in substantially the same form as the copy of such Agreement <br />accompanying this Resolution. <br />Section 2. The Mayor is hereby authorized to execute the Agreement on behalf <br />of the City, and the Mayor is hereby further authorized to negotiate and approve such <br />revisions to the Agreement as the Mayor determines are necessary or desirable for the <br />protection of the City, so long as the essential terms and conditions of the Agreement are <br />not altered. <br />PASSED AND ADOPTED this 2nd day of December 2025. <br />ATTEST: <br />Ge• <br />nly K ne, City Clerk <br />Christoi5h r M.
