It is hereby certified and recited and the ity Council has found: that the Project is an eligible "proje t" defined in Section 29-3-103(10) of the Act; that the issu nce of the Bond and the acquisition and construction of the P oject will promote the public welfare and carry out the purp ses of the Act; that all acts, conditions and things required done precedent to and in the issuance of this Bond hav been done properly, have happened and have been performed in reg lar and due time, form, and manner as required by law; and that th"s Bond does not constitute a debt of the City within the mea ing of any constitutional or statutory limitation. This Bond is a negotiable instrument and is ransferable by the Registered Holder hereof upon surrender of th"s Bond for transfer at the principal corporate trust office of he Trustee, duly endorsed or accompanied by a written instrument f transfer in form satisfactory to the Trustee and executed by th Registered Holder hereof or his attorney duly authorized in writi There- upon the City shall execute and the Trustee shall auth nticate and deliver, in exchange for this Bond, a new, fully Reg istered Bond in the name of the transferee, in principal amount e ual to the unpaid principal amount of this Bond, of the same ma urity, and bearing interest at the same rate. - This Bond shall not be valid or obligatory for any purpose until it shall have been authentic ted by the execution of the Certificate hereon endorsed ustee under the Indenture.
