<br />RESOLUTION NO. 32 <br />SERIES 2004 <br /> <br />A RESOLUTION APPROVING A TELECOMMUNICATIONS SITE LEASE WITH <br />OPTION AGREEMENT BETWEEN THE CITY OF LOUISVILLE AND <br />VOICESTREAM PCS II CORPORATION <br /> <br />WHEREAS, there has been proposed a Site Lease With Option Agreement <br />("Agreement") between the City of Louisville and V oiceStream PCS II Corporation for the <br />location of certain telecommunications antenna facilities at the Louisville Recreation Center; and <br /> <br />WHEREAS, such Agreement provides for the location of antenna facilities at the <br />Recreation Center for an initial term of five years, and an option for renewal terms thereafter, <br />subject to earlier termination as provided in said Agreement; and <br /> <br />WHEREAS, the City of Louisville has reviewed said Agreement and desires to enter into <br /> <br />same. <br /> <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE <br />CITY OF LOUISVILLE, COLORADO: <br /> <br />1. The proposed Site Lease With Option Agreement ("Agreement") Between the <br />City of Louisville and V oiceStream PCS II Corporation is hereby approved in essentially the <br />same form as the copy of such Agreement accompanying this Resolution. <br /> <br />2. The Mayor is authorized to execute the Agreement, except that the Mayor is <br />hereby granted the authority to negotiate and approve such revisions to said Agreement as the <br />Mayor determines are necessary or desirable for the protection of the City, so long as the <br />essential terms and conditions of the Agreement are not altered. <br /> <br />3. The Mayor, City Administrator and City Staff are further authorized to do all <br />things necessary on behalf of the City to perform the obligations of the City under the <br />Agreement, and to execute and deliver any and all documents necessary to effect the lease upon <br />the terms and conditions of said Agreement, upon tenant's compliance with its obligations <br />thereunder and all terms and conditions of said Agreement. <br /> <br />
