<br /> INTERGOVERNMENTAL AGREEMENT <br />THIS INTERGOVERNMENTAL AGREEMENT ("Agreement"), is made and entered <br />into this d~Nd day of N\qrc..t.- ,2007, by and between the TOWN OF SUPERIOR, <br />COLORADO, a Colorado municipal corporation ("Superior") and the CITY OF LOUISVILLE, <br />COLORADO ("Louisville"), a Colorado municipal corporation (collectively the "Parties"). <br />WHEREAS, CoR.S. 9 29-1-201, et seq., clearly articulates and affirmatively expresses a <br />policy authorizing and encouraging political subdivisions of the state to cooperate and contract to <br />make the most efficient and effective use of their respective powers; <br />WHEREAS, Louisville currently maintains library facilities and provides library <br />services, and such services are used by some Superior residents; <br />WHEREAS, Louisville has stated that Superior residents constitute 19.5% of the use of <br />the Louisville Library based on materials circulation statistics and that Louisville's library <br />operating cost for 2007 is $1,218,040, and based on these statements, Louisville has requested <br />an annual contribution from Superior of $23 7,518; <br />WHEREAS, Superior cannot eonfmn Louisville's statements or perform its own analysis <br />at this time; and <br />WHEREAS, the Parties wish to seek agreement on a reasonable division of operating <br />costs for library facilities and services; <br />NOW, THEREFORE, in consideration of the mutual covenants herein contained and <br />other good and valuable consideration, the sufficiency and receipt of which is hereby <br />acknowledged, the Parties hereby agree as follows: <br />,I, <br />1. Monetarv Contributions. Superior shall contribute $75,000 to Louisville on or <br />before April 1, 2007 (the "2007 Contribution"). Subject to the appropriation of funds by the <br />Superior Board of Trustees for 2008, Superior shall contribute an additional $105,000 to <br />Louisville on or before January 31, 2008 (the "2008 Contribution"), which 2008 Contribution <br />may be modified as provided in Paragraphs 4 and 5. <br />2. Louisville's Duties. In exchange for the 2007 Contribution and 2008 <br />Contribution, Louisville agrees to: <br /> a. Use the 2007 Contribution and 2008 Contribution for the provision of <br />library services to which Superior residents have access; <br /> b. Allow Superior"s duly authorized representatives to inspect data regarding <br />library users, including, but not limited to: municipality of residence of library users, <br />total number of adult books and children books borrowed, number of programs <br />participated in and other services provided to those users; provided, however, that the <br />parties recognize that some of this data may not be currently collected, and that <br />Louisville is not required to expend additional money to upgrade software or change its <br />current data collection processes, but Louisville does commit to using reasonable efforts <br /> 1 3/13/2007 <br />P:\SHARED FlLES\PHYLLISIWPDOCSIMEETINGS 20071MARCH 12, 2007\JTEM#9 - LOUISVILLE LIBRARY IGA-(LOUSVILLE 3-0-07 <br /> CLEAN).DOC <br />
