COMMUNOVES 11111111110~01111M al RESOLUTION OF TERMINATION AND DISSOLUTION BY UNANIMOUS WRITTEN CONSENT OF THE MEMBERS OF COLORADO BROADBAND COMMUNITIES THIS RESOLUTION, dated and effective as of this day of December, 2012, is approved by the entire membership of Colorado Broadband Communities (CBC), a Colorado intergovernmental entity, in accordance with the provisions set forth below. WHEREAS, the Members of CBC are the Cities of Arvada, Boulder, Golden, Lakewood, Louisville, Northglenn, Superior, Thornton, Wheat Ridge, and the City and County of Broomfield; and WHEREAS, the Members initially created CBC through an intergovernmental agreement (IGA) adopted pursuant to Colorado law; and WHEREAS, the Members have determined that it is no longer in the best interests of the Members or the CBC to continue the CBC as an ongoing organization; and WHEREAS, Section 13 of the IGA provides for the termination of the IGA and by implication, the dissolution of CBC, upon the consent of all of its Members; and WHEREAS, notice of a CBC meeting, to be held on December 19, 2012 was provided to all Members in accordance with the IGA; and WHEREAS, at the CBC meeting held in Lakewood, Colorado on December 19, 2012, to discuss termination of the CBC, six Members were present either in person or by telephone conference call, and voted unanimously to terminate the IGA and dissolve CBC; and WHEREAS, the Members who were not present at that meeting were made aware of the issues being considered at the meeting through correspondence and the meeting agenda distributed in advance of the meeting, and also wish to confirm their decision and approval to terminate the IGA and dissolve CBC in order that there is unanimous consent to the approval of this action; and WHEREAS, the Members have agreed to take all steps necessary to distribute the assets of CBC upon termination in accordance with the IGA, to pay any final expenses of the organization incurred in connection with the termination, and notify the Colorado Department of Local Affairs of the termination.
