<br />Continuing Disclosure Certificate: the Continuing Disclosure Certificate executed <br />by the City in connection with the issuance of the Bonds, which constitutes an undertaking <br />pursuant to Rule 15c2-12 promulgated by the U.S. Securities and Exchange Commission. <br /> <br />County: Boulder County, Colorado. <br /> <br />C.R.S.: the Colorado Revised Statutes, as amended and supplemented as of the <br /> <br />date hereof. <br /> <br />DTC: The Depository Tmst Company, New York, New York, and its successors <br /> <br />and assigns. <br /> <br />Election: the election held within the City on November 4,2003. <br /> <br />Federal Securities: only direct obligations of, or obligations the principal of and <br />interest on which are unconditionally guaranteed by, the United States (or ownership interests in <br />any of the foregoing) and which are not callable prior to their scheduled maturities by the issuer <br />thereof (or an ownership interest in any of the foregoing). <br /> <br />Letter of Representations: the letter of representations from the City to DTC to <br />induce DTC to accept the Bonds as eligible for deposit at DTC. <br /> <br />Limited Mill Levy: an ad valorem mill levy (a mill being equal to 1/10 of l~) <br />imposed upon all taxable property in the City each year at a rate sufficient to produce revenues to <br />pay the principal of, premium if any, and interest on the Bonds which is due and payable in such <br />year, but not in excess of 1.581 mills, beginning January 1, 2004 and continuing for twenty years <br />thereafter. <br /> <br />Maturity-Rate: Bonds which are due on the same date and bear the same interest <br /> <br />rate. <br /> <br />Mayor: the Mayor of the City. <br /> <br />Mayor Pro Tern: the Mayor Pro Tern of the City. <br /> <br />Official Statement: the Official Statement delivered m connection with the <br />original pricing and sale of the Bonds. <br />Ordinance: this Ordinance of the City, which provides for the issuance and <br />delivery of the Bonds. <br /> <br />2 <br />
