Section 3. City Employees. Members may not be employees of the City of Louisville <br />at any time during their appointment to the Board. <br />Section 4. Term of Members. Each member shall be appointed for a Four (4)-year <br />term. A member's term of office shall commence January 1st following their <br />appointment and shall expire December 31 st of their 4th year. Notwithstanding the <br />foregoing, the City Council shall have the authority at the time of appointment to any <br />vacancy to reduce the length of a member's term as necessary to avoid more than two <br />thirds of members' terms expiring at the same time. <br />Section 5. Compensation. Members shall serve without compensation. Expenses <br />actually incurred in the performance of the duties of office may be paid only if the <br />expense and amount thereof are approved and authorized in advance by a writing <br />signed by the City Manager. (Louisville Home Rule Charter Section 10-2e). <br />Section 6. City Liaison. The City Manager shall appoint a City staff member to act as <br />liaison to the Board. Such liaison may advise the Board, make recommendations, and <br />bring items for discussion. Such liaison is not a member of the Board, does not vote on <br />matters before the Board, and may not be counted as a part of a quorum. <br />ARTICLE III <br />Officers and Personnel <br />Section 1. Officers. Board Members shall share responsibility for conducting the <br />business of the Board. The Officers of the Board shall be a Chair, and a Secretary. <br />These positions shall rotate Monthly through the membership, such that all members <br />shall have the opportunity to serve in each role, and no single member shall dominate <br />either role. <br />Section 2. Chair. The Chair shall preside at all meetings of the Board, and shall be <br />responsible for setting the agenda, facilitating discussion of the business of the <br />Board, and keeping the Board on time and on task. <br />Section 3. Secretary. The Secretary, who may be a member or an employee (LLA, <br />HPC, PC, BOA, BCBOA) of the City shall take notes and prepare the minutes of the <br />meeting for distribution prior to the next meeting and attest to all documents authorized <br />to be executed by the Board. <br />Section 4. Additional Duties. The Board's membership as a whole shall decide which <br />member(s) shall serve as spokesperson(s) for the Board, or represent the Board in <br />other roles at such times as needed. The officers of the Board shall perform such <br />duties and functions as may from time to time be required or authorized by the Board or <br />these Bylaws. <br />Page 2 of 7 <br />
