SECOND AMENDMENT TO <br /> TAKODA SUBDIVISION AGREEMENT <br /> This Second Amendment to Takoda Subdivision Agreement (the"Second Amendment") <br /> is made and entered into as of the -day of November 2011, by and between the City <br /> of Louisville,a municipal corporation, in the County of Boulder; State of Colorado (''City"), The <br /> Ryland Group, Inc. a Maryland corporation ("Ryland"),Takoda Properties: Inc.,a Colorado <br /> corporation(-Takoda-), and Summit View Professional Park, LLC, a Colorado limited liability <br /> company("Summit View''); Boulder Creek Takoda, LLC, Colorado limited liability company <br /> ("Boulder Creek"). Ryland,Takoda, Summit View,and Boulder Creek are hereinafter referred <br /> to individually as such, and are collectively, referred to as"Subdivider;" <br /> RECITALS <br /> WHEREAS,on October 4, 2010,City and Subdivider entered into the Takoda <br /> Subdivision Agreement(the"Subdivision Agreement"),which Subdivision Agreement was <br /> recorded in the offices of the Boulder County Clerk and Recorder on October 6.2010 at <br /> Reception No. 03103590; and <br /> WHEREAS,on October 21,2011, City and Subdivider entered into the First Amendment <br /> to Takoda Subdivision Agreement(the,"First Amendment"),which First Amendment was <br /> recorded in the offices of the Boulder County Clerk and Recorder on October 21,2011 at <br /> Reception No. 03179565; and <br /> WHEREAS, City and Subdivider have determined that certain revisions are required to <br /> the Subdivision Agreement,the Schedule of Improvements attached to the Subdivision <br /> Agreement as Exhibit B,the Phasing Plan attached to the Subdivision Agreement as Exhibit B-1, <br /> and the Regional.Improvement,Plan attached to the Subdivision Agreement as Exhibit B-2; and <br /> WHEREAS, Ryland is the owner of that real property described as Blocks 1 and 6 , <br /> Takoda, County of Boulder,State of Colorado, according to the subdivision plat thereof;and <br /> WHEREAS. Ryland has further requested an amendment to the Subdivision Agreement <br /> to allow the issuance of a limited number of additional certificates of occupancy in Blocks i and <br /> 6 prior to the granting of construction acceptance for the Phase 1 improvements; <br /> WHEREAS, Boulder Creek is the owner of that real property described as Blocks 15 and <br /> 16, Takoda, County of Boulder, State of Colorado,according to the subdivision plat thereof; and <br /> WHEREAS, Boulder Creek has further requested an amendment to the Subdivision <br /> Agreement to allow the issuance of a limited number of additional certificates of occupancy in <br /> Blocks 15 and 16 prior to the granting of construction acceptance for the Phase 1 improvements; <br /> I <br />
