3. Boulder County shall contribute up to $75,000 (Seventy Five Thousand Dollars) to the <br />Study in accordance with the following table: <br />Integrated Study Elements <br />Funding Source <br />Amount <br />Station Area Implementation <br />Study <br />Federal Grant Share <br />$ 80,000 <br />City Local Match Share <br />$ 20,000 <br />Sub -total <br />$100,000 <br />Hwy. 42 Corridor Study <br />CDOT FASTER Share <br />$ 75,000 <br />Boulder County Share <br />$ 75,000 <br />City Local Match Share <br />$150,000 <br />Sub -total <br />$300,000 <br />Total <br />$400,000 <br />Payment shall be made as follows: Boulder County shall reimburse the City for 50% of the City's <br />payments to consultants related to the Work within 30 days of Boulder County's receipt from the <br />City of a bill showing: (i) the cost of actual work performed by the consultants; and (ii) evidence <br />that the bill has been paid by the City. Boulder County shall have the right to verify by observation <br />that the billed work has been performed. Neither Boulder County, nor the City, shall be entitled to <br />bill the other for staff time or expenses related to the Study. <br />4. Boulder County will pay only for consultant work in an amount not to exceed the <br />equivalent of the City's contribution to the Study or $75,000.00, whichever is lower, and performed <br />in accordance to section 2 of this Agreement. Reimbursement obligations hereunder shall <br />terminate upon aggregate reimbursement by Boulder County to the City of $75,000.00 under the <br />terms hereof. <br />5. It is the Parties' mutual goal to complete the Study before January 1, 2014. <br />6. Boulder County's Project Representative is: Julie McKay, Transportation Planning <br />Division Manager, phone number 720 -564 -2662. The City's Project Representative is Troy Russ, <br />Director of Planning and Building Safety, phone number 303 - 335 -4590. <br />7. Any notices or other communications required or permitted by this Agreement or by law <br />to be served on, given to, or delivered to either Party by the other Party, shall be in writing and shall <br />be deemed duly served, given, or delivered when personally delivered to the representative to whom <br />it is addressed or in lieu of such personal services, upon receipt in the United States mail, first -class <br />postage prepaid, addressed to the following: <br />City of Louisville: <br />Boulder County: <br />Page 2 of 4 <br />City of Louisville <br />749 Main Street <br />Louisville, Colorado 80027 <br />Attn: Troy Russ <br />Boulder County <br />245 <br />
