<br />In parallel with my Professional Services position (below), 1 was instrumental in
<br />launching this subsidiary of PrismTech Corporation through the establishment of a
<br />Special Security Agreement (SSA) with the U.S. Department of Defense, including the
<br />development of substantial security and export control measures, with an associated set
<br />of corporate governance and procedures to ensure adherence to the SSA. The SSA was
<br />required to mitigate PrismTech's foreign ownership and control, to allow it to deliver its
<br />products and services to U.S. Government Agencies with programs requiring access to
<br />classified and /or sensitive information. In conjunction, I obtained a Secret -level security
<br />clearance. Both positions were eliminated as of 01/31/08 due to the parent company's
<br />poor sales performance.
<br />Vice President - Professional Services, North America — 10/2006 to 01/2008
<br />Responsible for managing the delivery of a $3.6M revenue stream stemming from
<br />customer engagements. Created and managed the North American Professional Services
<br />organization (comprised of project management, consulting, implementation and
<br />integration of core products, and customized application development of PrismTech's
<br />middleware and software defined radio solutions). 1 also implemented processes,
<br />procedures, methodologies and tools that are in use worldwide.

<br />As an Officer of the Corporation, was part of the turnaround team responsible for global
<br />business operations (strategic planning, Information Technology, software
<br />manufacturing, and quality processes and management), Product Development, and
<br />Human Resources. World -wide responsibility for the on -time, on- budget delivery of all
<br />customer engagements, including custom application development, integration, and
<br />ongoing customer support. Created a Program Management Office and developed and
<br />delivered a formal engagement methodology used throughout the company. Position
<br />was eliminated due to Company performance.

<br />Responsible for the on -time, on- budget and on- functionality delivery of all client
<br />engagements (delivery staff was comprised of: Professional Services, Business Practices
<br />Consulting, Learning Services, Engineering Services, and the Program Management
<br />Office) for this pre -IPO company. Responsibilities also included strategic planning,
<br />developing business partner relationships, and expanding the organization's
<br />effectiveness and degree of professionalism, and developed a formal project
<br />management methodology. Position was eliminated due to Company performance.

<br />Responsible for the overall Operational Support Systems (OSS) solutions at 1CG during
<br />its high - growth period, including business processes, methods and procedures, and
<br />technology systems deployment. Focused on the development, implementation, and
<br />support of ICG's new Billing, Customer Care, and OSS systems; as well as the
<br />implementation and support of all internal business applications (sales & marketing,
