Notices given in the manner described above shall be effective, respectively, upon <br />personal delivery, upon facsimile receipt, or upon mailing. <br />22. No Waiver. Waiver by the Lessor of any breach of any term of this Lease shall not be <br />deemed a waiver of any subsequent breach of the same or any other term or provision thereof. <br />23. No Assignment. This Lease is personal to the parties hereto. The Lessee shall not <br />sublease the Leased Premises, or transfer or assign any rights under this Lease, for monetary or any <br />other consideration, without the prior written approval of the Lessor, which approval is solely at the <br />discretion of the Lessor. <br />24. Entire Agreement; Prior Leases. This Lease is the entire agreement between the <br />Lessor and Lessee and may be amended only by written instrument subsequently executed by the <br />Lessor and Lessee. All prior leases by the City of the Leased Premises are terminated effective as of <br />the commencement date of this Lease; provided, however, that such obligations of Lessee all <br />provisions of such prior leases that all terms and conditions of said leases concerning release, <br />indemnification, termination, remedies and enforcement shall survive termination. <br />25. Survival. All of the terms and conditions of this Lease concerning release, <br />indemnification, termination, remedies and enforcement shall survive termination of this Lease. <br />25. No Recording. Under no circumstances shall Lessee record this Lease in the land <br />records of the Office of the Boulder County Clerk and Recorder. <br />26. Relationship of Parties. It is mutually agreed and understood that nothing contained <br />in this Lease is intended or shall be construed as in any way establishing the relationship of co- <br />partners or joint venturers between the City and any other party hereto, or as construing any Lessee <br />5 <br />
