14. TAX IMPLICATIONS: The City shall disclose the amount of grant funds distributed <br />to the Owner to the Internal Revenue Service in accordance with the Internal <br />Revenue Code and shall provide to the Owner and IRS Form 1099 showing the <br />amount received. The Owner acknowledges and understands that the Grant may <br />constitute taxable income. The City makes no representations or warranties <br />concerning the tax consequences to the Owner as a result of receiving the grant <br />funds. <br />15. FAILURE TO COMPLY: Any material breach of the terms and conditions of this <br />Agreement shall entitle the non - breaching party to seek equitable relief, including <br />injunction and specific performance, as a remedy for any such breach, in addition <br />to all other remedies available at law or equity. The parties agree that any party <br />that has materially breached the terms and conditions of this Agreement shall <br />receive written notice of said material breach from the non - breaching party and <br />shall then have 30 calendar days in which to cure said breach before any remedies <br />are available to the non - breaching party. <br />16. NOTICE: Any notices or communication required or permitted hereunder shall be <br />given in writing and shall be personally delivered, or sent by facsimile transmission <br />or by United States mail, postage prepaid, registered or certified mail, return <br />receipt requested, addressed as follows: <br />City: <br />City of Louisville <br />Attn: City Manager <br />749 Main Street <br />Louisville, CO 80027 <br />Fax: (303) 335 -4550 <br />Owner: <br />Amterre Property Group, LLC <br />2318 Dennison Lane <br />Boulder, CO 80305 <br />Fax: None. <br />or to such other address or the attention of such other person(s) as hereafter <br />designated in writing by the parties. Notices given in the manner described above <br />shall be effective, respectively, upon personal delivery, upon facsimile receipt, or <br />upon mailing. <br />17. ENTIRE AGREEMENT; AMENDMENTS: This writing constitutes the entire <br />Agreement between the parties hereto with respect to the subject matter herein, <br />and shall be binding upon and inure to the benefit of the respective successors and <br />assigns of said parties. This Agreement may be amended only by written <br />agreement approved by both parties. <br />8 <br />
