8, 2012, as amended, for purchase of the Historic Grain Elevator property located at 540 <br />and 544 Front Street in Louisville. <br />Section 2. In consideration of such transfer and as required by the Grant <br />Program Agreement, City Council hereby approves payment to Amterre of $25,000 for <br />reimbursement of earnest money paid by Amterre and an amount not to exceed $20,000 <br />for Amterre's documented actual expenses not including overhead costs. <br />Section 3. The Mayor is hereby authorized to execute such documents as may <br />be determined necessary to effectuate the transfer of ownership of the purchase contract <br />to the City, including without limitation an acceptance of a written assignment thereof <br />from Amterre. The Mayor is hereby further authorized to execute a termination of the <br />Grant Program Agreement upon assignment of the purchase contract. <br />Section 4. The Mayor, City Clerk, City Manager and City Staff are further <br />authorized to do all things necessary on behalf of the City to perform the obligations of the <br />City under the purchase contract, and are further authorized to execute and deliver any and <br />all documents necessary to effect the purchase of the property under the terms and <br />conditions of said purchase contract, including but not limited to execution and delivery of <br />closing documents required by the purchase contract or by the title company in connection <br />with closing. <br />Section 5. The City Manager and City Staff are authorized and directed to take <br />steps necessary to plan and provide for stabilization of the Grain Elevator Property and to <br />prepare the property for potential sale subject to landmarking and/or a conservation <br />easement, with any contract related thereto subject to Council approval. <br />SSED AND ADOPTED this .ZI -Sr day of IAJ , 2012. <br />Mint <br />ancy Varra, 1 ity Clerk <br />Robert P.
