CITY OF LOUISVIllE JUt 24 1995 cnv ADMINlSTRAT01l SECOND AMENDMENT TO PERSONAL SERVICES MANAGEMENT AGREEMENT RESOLUTION NO. 39, SERIES 1995 THIS AMENDMENT made and entered into this ~ th day of JUNE . 1995, by and between the City of Louisville, Colorado municipal corporation, hereinafter referred to as the "City" and Evergreen Alliance Golf Limited, a Texas Limited Partnership, formerly known as Recreational Services, Ltd. ("RSL") hereinafter referred to as "EAGL". WHEREAS, the City and EAGL are parties to a Personal Services Management Agreement dated March 30, 1989, amended by a First Amendment to Personal Services Management Agreement dated August 29, 1991, (as amended the "Management Agreement"), for the management of the Coal Creek Golf Course and appurtenant facilities; and WHEREAS, Coal Creek Golf Course has operated under a Management Agreement since opening in 1990; and WHEREAS, EAGL is the management company the City has contracted to operate the golf course; and WHEREAS, the City has benefited from the expertise offered by EAGL; and WHEREAS, the current Management Agreement with EAGL is expiring; and WHEREAS, the City and EAGL desire to continue the Management Agreement and extend the term of the Management Agreement; NOW, THEREFORE. for and in consideration of the covenants and agreements hereinafter contained, the parties hereto agree as follows: 1. The term of the Management Agreement will be extended for a minimum term of one year, commencing on the 1st day of June, 1995, and ending at 11:59 p.m. on the 31st day of May, 1996. 2. The City and EAGL will negotiate in good faith and without undue delay toward a longer term (five years) agreement operating on a calendar year to begin January 1, 1996.
