<br />CITY OF LOUISVIllE <br />JUt 24 1995 <br />cnv ADMINlSTRAT01l <br />SECOND AMENDMENT TO PERSONAL SERVICES MANAGEMENT AGREEMENT <br /> <br />RESOLUTION NO. 39, SERIES 1995 <br /> <br />THIS AMENDMENT made and entered into this ~ th day of JUNE . <br />1995, by and between the City of Louisville, Colorado municipal corporation, hereinafter referred <br />to as the "City" and Evergreen Alliance Golf Limited, a Texas Limited Partnership, formerly <br />known as Recreational Services, Ltd. ("RSL") hereinafter referred to as "EAGL". <br /> <br />WHEREAS, the City and EAGL are parties to a Personal Services Management <br />Agreement dated March 30, 1989, amended by a First Amendment to Personal Services <br />Management Agreement dated August 29, 1991, (as amended the "Management Agreement"), <br />for the management of the Coal Creek Golf Course and appurtenant facilities; and <br /> <br />WHEREAS, Coal Creek Golf Course has operated under a Management Agreement <br />since opening in 1990; and <br /> <br />WHEREAS, EAGL is the management company the City has contracted to operate the <br />golf course; and <br /> <br />WHEREAS, the City has benefited from the expertise offered by EAGL; and <br /> <br />WHEREAS, the current Management Agreement with EAGL is expiring; and <br /> <br />WHEREAS, the City and EAGL desire to continue the Management Agreement and <br />extend the term of the Management Agreement; <br /> <br />NOW, THEREFORE. for and in consideration of the covenants and agreements <br />hereinafter contained, the parties hereto agree as follows: <br /> <br />1. The term of the Management Agreement will be extended for a minimum term of one year, <br />commencing on the 1st day of June, 1995, and ending at 11:59 p.m. on the 31st day of May, <br />1996. <br /> <br />2. The City and EAGL will negotiate in good faith and without undue delay toward a longer <br />term (five years) agreement operating on a calendar year to begin January 1, 1996. <br /> <br />IN WITNESS WHEREOF, this Amendment has been executed as of the date first written <br />above. <br /> <br />CITY OF LOUISVILLE <br /> <br />By: ~ ~?-- , <br />Tom Davidson, Mayor <br />
