achieving common objectives pertaining to broadband services in Colorado, so as to increase <br /> access and connectivity to high-speed broadband access for Colorado schools, libraries, and <br /> other Community Anchors; and <br /> WHEREAS, Section 29-1-203 of the Colorado Revised Statutes authorizes political <br /> subdivisions of the State of Colorado to contract to provide any lawfully authorized function, <br /> service or facility or to form and maintain associations to promote, through cooperative effort, <br /> the interest and welfare of each. <br /> NOW THEREFORE, in consideration of the mutual covenants and promises hereinafter <br /> set forth, the parties agree as follows: <br /> 1. PURPOSE. The purposes of this Agreement are (a) to create a mechanism to deploy <br /> and offer a variety of broadband connectivity and affordable services to the Colorado schools, <br /> libraries, governments and other Community Anchors; to (b) leverage a Middle Mile broadband <br /> network through partnerships with private sector service providers to expand broadband <br /> throughout the state; (c) to share information and resources pertaining to broadband services; (d) <br /> to create a structure to coordinate and cooperate in the administration, monitoring and <br /> deployment of broadband services to schools, libraries or Community Anchor locations, and to <br /> explore new means of achieving common objectives pertaining to broadband services within <br /> Colorado, so as to increase broadband opportunities for Colorado schools, libraries, and other <br /> Community Anchor locations. <br /> 2. ESTABLISHMENT OF The EAGLE-Net Alliance. There has been heretofore created <br /> an intergovernmental agency known as "The EAGLE-Net Alliance" (referred to herein as <br /> "EAGLE-Net"). EAGLE-Net is a separate local governmental entity from its Members, but <br /> governed by its Members according to the terms hereof. EAGLE-Net shall file all documents <br /> with the Colorado Department of Local Affairs as required by law, to be recognized as an <br /> independent local governmental entity. The communications address and headquarters of <br /> EAGLE-Net shall be 11800 Ridge Parkway, Suite 450, Broomfield, Colorado, 80021, initially, <br /> although EAGLE-Net management may determine following execution of this Agreement to <br /> rotate said address among parties, establish an independent headquarters, or adopt such other <br /> practices or procedures in this regard as they deem fit. <br /> 3.
