"Community Anchor" shall mean schools, libraries, medical and healthcare providers, <br /> public safety entities, governmental institutions, community colleges and other institutions of <br /> higher education, and other community support organizations and agencies that provide <br /> outreach, access, equipment and support services to facilitate greater use of broadband service by <br /> vulnerable populations, including low-income, unemployed, and the aged. <br /> "Director" shall mean the individuals appointed or elected as set forth herein to serve on <br /> the Board of Directors of EAGLE-Net. <br /> "Member" shall mean a political subdivision of the State of Colorado, which has entered <br /> into and formally executed this Agreement and is, at the time in question, current with all costs <br /> of participation. The Board of Directors may provide for different categories of membership. <br /> "Subscriber" shall mean an entity that is entitled to purchase broadband services from <br /> EAGLE-Net, but not eligible to become a party to this Agreement, such as a non-profit <br /> Community Anchor institution that does not qualify as a Member under Section 4. <br /> 4. MEMBERS, AND SUBSCRIBERS. No entity may receive broadband services from <br /> EAGLE-Net unless it is a Member or Subscriber. Any governmental or quasi-governmental <br /> entity seeking services from EAGLE-Net must become a Member of EAGLE-Net, by executing <br /> this Agreement, and after doing so, shall be eligible to obtain broadband services from EAGLE- <br /> Net so long as it's financial obligations to EAGLE-Net remain current. Community Anchor <br /> entities that are not governmental or quasi-governmental entities as those terms are defined in <br /> Colorado law, are not eligible to become Members, but may purchase broadband services from <br /> EAGLE-Net in accordance with terms and conditions as determined by the EAGLE-Net <br /> Executive Management Team ("EMT"). For purposes of this Agreement, any not for profit <br /> entity whose members are comprised exclusively of government or quasi-governmental entities, <br /> and whose primary purposes are to provide governmental or quasi-governmental services, shall <br /> be considered a quasi-governmental entity and qualified to become a Member of EAGLE-Net. <br /> 5. BOARD OF DIRECTORS. The initial Board of Directors shall be appointed by the <br /> Board of the Centennial Board of Cooperative Educations Services ("CBOCES"), after <br /> considering recommendations for the Board from the EAGLE-Net EMT. There shall be no more <br /> than nine (9) directors with full voting privileges and two (2) advisory representatives as <br /> described below. The Board members with full voting privileges shall be one state government <br /> representative, three CBOCES board representatives, two representatives from School Districts <br /> that are members of CBOCES (either District board members, administrators, teachers or other <br /> EAGLE-Net <br /> Intergovernmental Agreement <br /> Revised 1/17/12 <br /> Page 3 <br />
