("RNI"). Judi Evans is the majority <br />owner of Civitas and will continue running the network with her team as she has been doing as <br />President of RNI since 2005. <br />As a result of this purchase, we would like to obtain your approval to the transfer to Civitas of <br />the above-described agreement betwe;en you and RNI. Accordingly, please sign below to <br />approve the transfer of that agreement, and all benefits, rights, liabilities, and obligations <br />thereunder, from RNI to Civitas and to recognize that going forward Civitas will be solely <br />responsible for performing the agreement, not RNI. This transfer of rights and responsibilities <br />will be deemed effective July 31, 2007 -the date that Civitas bought the network and operations <br />from RNI. This letter will also act as an amendment to the captioned agreement to recognize the <br />transfer of the agreement and related rights and obligations to Civitas. <br />Please return one original of this letter to Judi Evans by fax and mail at her fax number and <br />address shown below.
