<br />BARGAIN AND SALE DEED

<br />THIS DEED, made this '1ft.. day of J 1I YI e , 2005, between DEANN LUCKY
<br />GALLEGOS AND RICK S, LUCKY, of the County of Boulder, State of Colorado, hereinafter
<br />referred to as "Grantor", and the CITY OF LOUISVILLE, a Colorado home rule municipal
<br />corporation, whose legal address is 749 Main Street, Louisville, Colorado, 80027, hereinafter
<br />referred to as "Grantee":

<br />WITNESSETH, that the Grantor, for and in consideration of the sum of Ten Dollars
<br />($10.00), and other good and valuable consideration, the receipt and sufficiency of which is hereby
<br />confessed and acknowledged, has granted, bargained, sold and conveyed and by these presents does
<br />grant, bargain, sell and convey to the City of Louisville, its successors and assigns forever, all the
<br />real property, together with improvements, if any, situate, lying, and being in the County of
<br />Boulder, State of Colorado, described on as follows:

<br />TOGETHER with all and singular the hereditaments, easements and appurtenances thereto
<br />belonging, or in anywise appertaining, and the reversion and reversions, remainder and remainders,
<br />rents, issues, and profits thereof, and all the estate, right, title, interest, claim, and demand
<br />whatsoever of the Grantor, either in law or equity, of, in, and to the above bargained premises, with
<br />the hereditaments, easements and appurtenances,
<br />
<br />TO HAVE AND TO HOLD the said premises above bargained and described with the
<br />appurtenances, unto the Grantee, its successors and assigns forever.

<br />Grantor, for itself, its successors and assigns, herein further covenants and agrees with
<br />Grantee that, for no additional consideration, Grantor shall join and include the Grantee and the
<br />above-bargained premises in a quiet title action brought by Grantor respecting adjoining land, for
<br />the purpose of quieting title to the above-bargained premises, and shall properly execute,
<br />acknowledge and deliver to Grantee a warranty deed and such other instruments that Grantee may
<br />request to confirm or establish Grantee's ownership of the above-bargained premises and
<br />marketable, insurable title to same.

<br />Additionally, Grantor, for itself, its successors and assigns, herein further covenants and
<br />agrees with Grantee that, for no additional consideration, Grantor shall upon Grantee's request
<br />assist Grantee, its agents, employees, successors and assigns, in any other action or proceeding
<br />maintained to confIrm or establish Grantee's ownership of such above-bargained premises and
<br />marketable, insurable title to same, and that Grantor shall furnish such testimony, documentary
<br />evidence and other information as Grantee may request in relation to any such action.
