Section4.Directorsshallnotreceivecompensationorparticipateinanygainorprofitfromthe <br />operationofthisCorporation.Reimbursementforreasonableexpensesmaybepaid. <br />Section5.ThepropertyandbusinessoftheCorporationshallbemanagedbyitsBoardof <br />Directors,whichmaydoalllawfulacts. <br />ArticleV <br />OfficersandCommittees <br />Section1.TheofficersoftheCorporationshallbechosenbythedirectorsandshallbeaChair,a <br />ViceChair,aSecretary,andaTreasurer.Anytwooffices,excepttheofficesofChairandSecretary,may <br />beheldbythesameperson.Officersshallholdtheirofficesforoneyearoruntiltheirsuccessorsare <br />selectedandqualified.IftheofficeoftheChair,ViceChair,Secretary,orTreasurerisvacant,theBoard <br />ofDirectorsshallselectasuccessorfromtheBoardofDirectorstoservefortheunexpiredtermofsaid <br />office.TheChairshallhavebeenadirectorforatleastone(1)yearpriortoservingasChair. <br />Section2.TheBoardofDirectorsmayappointadditionalViceChairsandassistantsandsuchother <br />officersandagentsasitshalldeemnecessary,whoshallholdtheirofficersforsuchtermsandshall <br />exercisesuchpowersandperformsuchdutiesasshallbedeterminedfromtimetotimebytheBoard. <br />Section3.TheChairshallexercisechiefexecutiveauthorityandshallpresideatallmeetingsofthe <br />directors.TheChairshallbeanexofficiomemberofallstandingcommittees. <br />Section4.TheViceChairshall,intheabsenceordisabilityoftheChair,performthedutiesand <br />exercisethepowersoftheChair,andshallperformsuchotherdutiesastheBoardofDirectorsshall <br />prescribe.IntheeventoftheabsenceorinabilitytoactofboththeChairandViceChair,theremaining <br />membersshallselectsomeothermemberoftheBoardofDirectorstotemporarilyperformthedutiesof <br />theChair. <br />Section5.TheSecretaryshallattendallsessionsoftheBoardofDirectorsandrecordallvotesand <br />minutesofallproceedings.Heorsheshallgive,orcausetobegiven,noticeofallmeetingsandspecial <br />meetingsoftheBoardofDirectors,andheorsheshallperformsuchotherdutiesasmaybeprescribed <br />bytheBoard. <br />Section6.TheTreasurershallhavethecustodyofthecorporatefundsandsecuritiesandshall <br />keepfullandaccurateaccountsofreceiptsanddisbursementsinbooksbelongingtotheCorporation. <br />TheTreasurerordesignatedagentshalldepositallmoniesandvaluableeffectsinthenameandtothe <br />creditoftheCorporationinsuchdepositoriesasmaybedesignatedbytheBoardofDirectors.The <br />Treasurershallberesponsibleforpreparingandfilingrequiredfinancialreportswithgovernmental <br />agencies. <br />Section7.TheCorporationshallmaintainaStandingCommitteeconsistingoftheMembership <br />Committee.TheChairshallappointatleastonedirectortotheMembershipCommitteeandmay <br />appointmembersoftheCorporationwhoarenotdirectorstotheMembershipCommittee.TheChair <br />3 <br />
