The proposed Purchase Contract to Buy and Sell Real Estate between the City and <br />Warembourg Colorado Ranches, LLC (the "Purchase Contract"), for the City's acquisition of an <br />approximately 2,800 square foot portion of the Warembourg Parcel 2 Property, as more particularly <br />described in the Purchase Contract (the "Property"), is hereby approved in essentially the same <br />form as the copy of such Purchase Contract accompanying this Resolution. <br /> <br />2. The proposed Second Amendment to Deed of Conservation Easement in Gross <br />between Colorado Warembourg Ranches, LLC and the City of Louisville and the County of <br />Boulder (the "Amendment"), for release of the Property from the City-County Conservation <br />Easement is hereby approved in essentially the same form as the copy of such Amendment <br />accompanying this Resolution. <br /> <br />3. The Mayor is authorized to execute the Purchase Contract and the Amendment on <br />behalf of the City, except that the Mayor is hereby granted the authority to negotiate and approve <br />such revisions to said Contract and Amendment as the Mayor determines are necessary or desirable <br />for the protection of the City, so long as the essential terms and conditions of the Contract and <br />Amendment are not altered. <br /> <br />4. The Mayor, City Manager and City Staff are further authorized to do all things <br />necessary on behalf of the City to perform the obligations of the City under the Purchase Contract, <br />and are further authorized to execute and deliver any and all documents necessary to effect the <br />purchase of the Property under the terms and conditions of said Purchase Contract and to effect the <br />release of the Property from the City-County Conservation Easement; provided, however, that the <br />Amendment shall not be executed or recorded in the event the City does not acquire fee title to the <br />Property. <br /> <br />5.
