necessary or desirable for the protection of the City, so long as the essential terms and <br />conditions of the Agreement are not altered. <br />Section 3. The Mayor, City Manager and City Staff are further authorized to <br />do all things necessary on behalf of the City to perform the obligations of the City under <br />the Agreement, and are further authorized to execute and deliver any and all closing <br />documents and other documents necessary to perform said obligations and effect sale of <br />the Property under the terms and conditions of said Agreement. Without limiting the <br />foregoing, the City Manager is authorized to approve a master lease or other instruments <br />for use of the Property, to grant or withhold such administrative approvals or consents as <br />are provided for in the Agreement, to make determinations regarding disbursements of <br />HPF grant funds provided for under the Agreement, and to execute and deliver all <br />documents necessary or appropriate in connection therewith. <br />Section 4. City Council hereby approves the expenditure of up to $500,000 <br />from the Historic Preservation Fund for completion of the stabilization Scope of Work to <br />be completed pursuant to the Agreement for stabilization of the Louisville Grain <br />Elevator. <br />Section 5. City Council hereby waives the cap limitations for grants for <br />rehabilitating landmarked commercial property outlined in Resolution No. 2, Series 2012 <br />for this agreement. <br />Section 6.
