WHEREAS, the City Council has determined it is in the best interest of the City and its <br />citizens to sell and convey the Property upon the terms and conditions set forth in said Agreement; <br />NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE <br />CITY OF LOUISVILLE, COLORADO: <br />Section 1. The City Council hereby approves and authorizes the sale and conveyance <br />from the City to Louisville Mill Site, LLC, ( "LMS ") of the Property legally described on Exhibit A <br />attached hereto for a purchase price of $200,000. <br />Section 2. The sale and conveyance of the Property shall further be upon the terms and <br />conditions set forth in that certain Purchase and Sale Agreeme t between the City and LMS, which <br />Agreement was approved by City Council Resolution No. , Series 2013 (the "Agreement "), <br />and which terms and conditions are incorporated herein by reference as though set forth in full. As <br />provided in the Agreement, and in furtherance of the provisions of Ballot Issue 2A approved by <br />the voters November 4, 2008, the historic Louisville Grain Elevator shall be landmarked prior to <br />closing and upon closing there shall be granted to the City a conservation easement for the <br />preservation of historic resources. The legal description of the site to be landmarked and the <br />land to be encumbered by the said conservation easement shall be finally determined through the <br />platting and landmarking process as further provided in said Agreement. No public land <br />dedication shall be required in connection with the plating of the Property or the adjacent South <br />Parcel, as further provided in said Agreement. <br />Section 3. The City Council hereby further approves of, ratifies and confirms all <br />actions heretofore taken in connection with sale of the Property in accordance with the <br />Agreement. <br />Section 4. If any portion of this ordinance is held to be invalid for any reason, such <br />decision shall not affect the validity of the remaining portions of this ordinance. The City <br />Council hereby declares that it would have passed this ordinance and each part hereof <br />irrespective of the fact that any one part be declared invalid. <br />INTRODUCED READ, PASSED ON FIRST .
