Any Party, by notice properly given to the others, may change its address to which notice <br /> may be mailed. Furthermore, facsimile transmission of a notice shall be deemed sufficiently <br /> given if sent to Lafayette by facsimile at: 303-665-2153; and to Louisville at: 303-673-9043; <br /> and confirmed in writing by mail in the manner as specified above for mail notices. <br /> j. Benefit. This Agreement is solely for the benefit of the Parties hereto <br /> and no third party or any present or future recipients of water service in Lafayette, shall <br /> be entitled to claim any rights hereunder or enforce any provision of this Agreement. <br /> k. Remedies. Subject to the provisions of Section 10 herein, this <br /> Agreement shall be enforceable by specific performance. It is specifically understood that <br /> the intent of the Parties in entering into this Agreement is for each Party to perform <br /> pursuant to the terms hereof, that a breach thereof and any damage resulting therefrom <br /> is not and shall not cause a termination of any of the obligations under this Agreement. <br /> 1. Governmental Immunity. The parties understand and agree that the <br /> monetary limitations and all other rights, immunities and protections provided by the <br /> Colorado Governmental Immunity Act, C.R.S. §24-10-101 et seq., as amended from time <br /> to time, shall apply to actions arising from or related to this Agreement. <br /> m. Non-Public Utility Status. Nothing in this Agreement shall be <br /> construed as a grant of any exclusive right or privilege. The parties understand and agree <br /> that , in entering into this Agreement, Louisville is not acting as a public utility, it has taken <br /> no action to prevent competitors from entering into a similar agreement with Lafayette, the <br /> Agreement does not provide for general control by Louisville over the operations of <br /> Lafayette, Louisville is not made by this Agreement the exclusive supplier of water to <br /> Lafayette, Louisville has no monopoly over service to Lafayette, and service by Louisville <br /> to Lafayette is incidental to Louisville's purpose of supplying water to Louisville residents. <br /> n. Recording. Either party may record this Agreement in the records of <br /> Boulder County, Colorado. <br /> 9 <br />
