(Form of Notice of Public Hearing to be published with Ordinance
after first reading)

NOTICE OF PUBLIC HEARING

NOTICE IS HEREBY GIVEN that at a regular meeting of the
City Council of the City of Louisville, Colorado, to be held on
Tuesday, the 6th day of April, 1993, at the hour of 7100 P.M., at
the City Hall, 749 Main Street, Louisville, Colorado, the City
Council will hold a public hearing on the final passage and
adoption of a proposed ordinance concerning the amendment by the
City of its Industrial Development Revenue Bond (FIRMM Investment
Project) Series 1982, in order to lower the interest rate on such
Bond. The original Bond was issued in the maximum aggregate face
amount of $475,000, for the purpose of financing the construction
of an office building located at 335 South Boulder Road, within the
City of Louisville, Colorado (the "Project"). The initial owner,
operator, and manager of the Project is FIRMM Investments, a
Colorado general partnership. The principal of and interest on the
Bond shall be payable solely from revenues derived from the Project
or from other funds of FIRMM Investments. The Bond and the
interest thereon shall never constitute the debt or indebtedness of
the City, and shall not constitute nor give rise to a pecuniary
liability of the City or a charge against its general credit or
taxing powers. All persons with differing views on either the
amendment of the Bond or the location or nature of the Project will
be given a reasonable opportunity to express their views, both
orally and in writing.

Publish in: The Louisville Times

Publish on: March 17, 1993 (at least 14 days before second reading)

- 12 -
