BYLAWS <br />OF <br />THE LOUISVILLE HISTORY FOUNDATION, INC. <br />Article I <br />Offices, Purpose and Power <br />Section 1. The principal office of The Louisville History Foundation, Inc., a Colorado <br />non-profit corporation (the ‘Foundation’), shall be at 749 Main Street, Louisville, <br />Colorado 80027. <br />Section 2. The Foundation may also have offices at such other places as the Board <br />of Directors may from time to time determine, or as the business of the Foundation may <br />require. <br />Section 3. The purpose of the Foundation shall be to support and engender <br />community support for the preservation of the history of the City of Louisville, Colorado, <br />and of the City of Louisville’s historical museum and campus. <br />Section 4. Subject to the limitations and restrictions set forth in its Articles of <br />Incorporation as from time to amended, the Foundation shall have all powers necessary <br />and allowed to non-profit corporations by law to fulfill its purposes without limitation, <br />including: <br /> 4.1. The solicitation of gifts, bequests, grants, subscriptions, and <br />devises of property of any kind, whether real or personal and wherever situated, for the <br />use and benefit of the Foundation; <br /> 4.2. Holding, managing, operating, selling, exchanging, investing, and <br />generally dealing with property, real or personal, which may come into its possession for <br />the use and benefit of the Foundation; <br /> 4.3. Applying, expending, and using any or all of its assets, no matter <br />how received, principal and income or either, to the use and benefit of the Foundation, <br />with or without such restrictions as the foundation may determine; <br /> 4.4. Qualifying for and/or maintaining the Foundation’s tax exempt <br />status under federal and other applicable law, including filing all reports and return <br />incidental thereto; <br /> <br />
