Section 4. The Board of Directors may adopt investment and spending policies or <br />guidelines as the Board deems appropriate. <br />Article VII <br />Notices and Waivers <br />Section 1. Whenever notice is required to be given under the Articles of Incorporation <br />or these Bylaws, it shall be given in writing by: a) personal delivery; or b) by first class <br />U.S. mail; or c) by confirmed fax transmission; or d) by email. All such notices shall be <br />accurately addressed to the party being given notice at their proper addresses, fax <br />numbers, or email addresses as appear in the books and records of the Foundation. In <br />the case of personal delivery, such notice shall be deemed to be given on the date of <br />delivery. In the case of first class U.S. mail, such notice shall be deemed to be given <br />two (2) business days after the posting of the notice. In the case of confirmed fax <br />transmission or email, such notices shall be deemed given on the date of transmission if <br />sent to the party at a home fax machine or email address, but on the first business day <br />if sent to the party at a work fax machine or email address. <br />Section 2. Actions taken at any improperly noticed meeting shall be valid provided a <br />quorum was present at such meeting and that the directors consent: in writing; by verbal <br />consent entered on the minutes of such meeting; or by taking part at such meeting <br />without objection. The proceedings of such meeting may also be ratified, approved and <br />rendered valid (and the irregularity or defect therein waived) by a writing signed by all <br />directors. <br />Section 3. Whenever notice is required to be given under these Bylaws, a written <br />waiver thereof signed by the person entitled to the notice, either before or after the time <br />stated herein for the giving of the notice, shall be good notice and a waiver of the notice <br />requirement. <br />Section 4. Any action which may be taken at a meeting of the Board may be taken <br />without a meeting if consents in writing, setting forth the action so taken, shall be <br />approved and signed by all directors entitled to vote on the subject. <br />Article VIII <br />Corporate Instruments <br />Section 1. The Board may authorize any officer or officers, agent or agents, to enter <br />into any contract or execute and deliver any instrument in writing in the name of and on <br />behalf of the Foundation, and such authority may be general or may be limited to <br />specific instruments or instances. <br /> <br />
