RESOLUTION NO. 67 <br />SERIES 2013 <br />A RESOLUTION APPROVING AN ASSIGNMENT OF THE LEASE AGREEMENT <br />FOR 611 FRONT STREET TO IN SEASON <br />WHEREAS, the City is the owner of Lot 6, Block 4, Town of Louisville, County of <br />Boulder, State of Colorado, which lot has an address of 611 Front Street and upon <br />which lot is located a one -story frame building containing an upholstery shop and retail <br />grocery; and <br />WHEREAS, a Lease was executed for 611 Front Street on July 17, 2012 and the <br />lease expires on August 31, 2014; and <br />WHEREAS, Karim Amirfathi, the current lessee for the property, desires to <br />assign the lease with the City to In Season, a Colorado Limited Liability Company, and <br />the City is willing to lease such property for the remaining term of the lease. <br />NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />Section 1. The proposed Assignment among the City of Louisville, Karim <br />Amirfathi, and In Season for the remaining lease of Lot 6, Block 4, Town of Louisville is <br />hereby approved in essentially the same form as the copy of such Lease Agreement <br />accompanying this Resolution. <br />Section 2. The Mayor is hereby authorized to execute the Assignment, except <br />that the Mayor and City Manager, or either of them, is hereby further granted the authority <br />to negotiate and approve such revisions to said Lease Agreement as are determined <br />necessary or desirable for the protection of the City, so long as the essential terms and <br />conditions of the Lease Agreement are not altered. <br />Section 3. The City Manager and City Staff are further authorized to do all things <br />necessary on behalf of the City to perform the obligations of the City under the Assignment <br />and to execute and deliver any and all documents necessary to effect the lease under the <br />terms and conditions of the Assignment. it/1k— AND ADOPTED this it 1k day of f Jfl4 AJ , 2013. <br />Robert P.
