It is the express inter.~tion of City and District that any person other than City or <br />District receiving services or benefits sunder this Agreement shall be deemed to be an incidental <br />beneficiary only. <br />5.12 Indemnification. To t:he extent allowed by law, District expressly agrees to <br />indemnify and hold harmless City or any of its officers or employees from any and all claims, <br />damages, liability, or court awards, including costs and attorney's fees that are or may be <br />awarded as a result of any loss, injury, or damage sustained or claimed to have been sustained by <br />anyone, including but not limited to, any person, firm, partnership, or corporation, in connection <br />with or arising out of any omission. or act of commission by District or any of its employees or <br />agents in performing pursuant to this Agreement. In the event that any such suit or action is <br />brought against City, City will give notice thereof to District. <br />5.13 Audits and Inspections. At any time during normal business hours and upon three <br />days notice, and as often as the parties, may deem necessary, each party shall make available to <br />the other party for examination all records with respect to all matters covered by this Agreement, <br />and permit the other to audit, examine., and make excerpts or transcripts from such records, and <br />to make audits of all contracts, invoices, materials, payrolls, and other data relating to all matters <br />covered by this Agreement. <br />5.14 Termination.
