2. The Mayor is hereby authorized to execute the IGA on behalf of the City Council of the City of Louisville, except that the Mayor is hereby further authorized to negotiate and approve such revisions to the IGA as the Mayor determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions of the IGA are not altered. 3. The Mayor, City Manager, City Clerk, and City staff are hereby authorized and directed to execute all documents and do all other things necessary on behalf of the City to effect the provisions of the IGA and perform the obligations of the City thereunder, including but not limited to execution and delivery of all Task Orders, Task Order Scope, certifications, reports, forms, Option Letters, contract amendments and other documents appropriate or required in connection with the IGA and completion of the City projects to be funded through the IGA. 4. All action heretofore taken in furtherance of the purposes of the IGA are hereby ratified and confirmed. The above recitals are hereby incorporated in this Resolution and made a part hereof, and capitalized or quoted terms not defined herein shall have the meaning given them under the IGA. 5. The City's obligation to make any payments under the IGA is from year to year only, and payments for future fiscal year are subject to annual budgeting and appropriation in the sole and absolute discretion of the City Council. Nothing in the IGA shall be deemed or construed as creating a multiple fiscal year obligation on the part of the City within the meaning of Colorado Constitution, Article X, Section 20, and the City's obligations under the IGA are expressly conditioned upon annual appropriation by the City Council.
