If any covenant, term, condition, or provision under this Agreement <br />shall, for any reason, be held to be invalid or unenforceable, the invalidity or <br />unenforceability of such covenant, term, condition, or provision shall not affect any other <br />provision contained in this Agreement, the intention being that such provisions are <br />severable. <br />(h) Venue. Venue for all actions arising from this Agreement shall be in District <br />Court in and for Boulder County, Colorado. <br />(i) Amendment. This Agreement may be amended from time to time by written <br />agreement between the City, LRC, and Property Owner. <br />(j) Governing Law. This Agreement shall be governed and construed in accordance <br />with the laws of the State of Colorado. <br />(k) Attorneys' Fees. Should any action be brought in connection with this <br />Agreement, including, without limitation, actions based on contract, tort or statute, each <br />party shall be responsible for any pay its own expenses and attorneys' incurred in <br />connection with such action. <br />(1) Instruments of Further Assurance. To the extent allowed by applicable law, the <br />City, LRC, and Property Owner agree that they will do, execute, acknowledge, and <br />deliver or cause to be done, executed, acknowledged, and delivered, such acts, <br />9 <br />
