MAJESTIC VIEW DRIVE <br />INTERGOVERNMENTAL AGREEMENT <br />This intergovernmental agreement ( "Agreement ") is made and entered into this day <br />of , 2014, by and between the County of Boulder, a body corporate and politic <br />( "County ") and the City of Louisville, a Colorado home rule municipality ( "City ") (collectively <br />"the Parties "). <br />RECITALS <br />WHEREAS, the Parties are authorized to enter into this Agreement pursuant to C.R.S. <br />§29 -1 -201 et seq.; and <br />WHEREAS, the City owns right -of -way west of the section line at McCaslin Boulevard <br />in the vicinity of Majestic View Drive, also referred to herein as "the Drive," and also owns the <br />right -of -way of the Drive adjacent to McCaslin Boulevard, as generally depicted on Exhibit A, <br />attached hereto and incorporated herein by reference; and <br />WHEREAS, the City currently maintains McCaslin Boulevard in the vicinity of Majestic <br />View Drive and has the operational capacity to maintain the Drive; and <br />WHEREAS, Majestic View Drive serves eleven properties in the unincorporated county <br />and the City and County have a shared desire that the County undertake a one -time rehabilitation <br />of the Drive and that the County convey to the City right -of -way previously conveyed to the <br />County for the Drive; and <br />WHEREAS, the County has budgeted funds for construction of the rehabilitation of <br />Majestic View Drive in its 2013 budget; and <br />WHEREAS, the City and County desire to enter into this Agreement to set forth their <br />mutual understandings regarding rehabilitation of the Drive, conveyance of right -of -way for the <br />Drive to the City, and related matters; <br />NOW, THEREFORE, for and in consideration of the mutual covenants and promises <br />contained herein, the sufficiency of which is acknowledged, the Parties agree as follows: <br />1. The County agrees to undertake the design and construction of a rehabilitation of <br />Majestic View Drive along its full length adjacent to and parallel with McCaslin <br />Boulevard. All design of the rehabilitation of the Drive shall be completed by the County <br />at its expense. The design shall be in accordance with standards mutually agreed upon by <br />the City and the County, and the Parties shall in writing approve the construction plans <br />prior to the commencement of work. The County shall warrant the work against defects <br />in labor, materials or workmanship for a period of two -years from the date of completion. <br />2. The cost of the work is estimated to be $65,000 and will be entirely borne by the County. <br />If the actual cost of the work exceeds the estimated cost, the County shall bear the excess <br />cost.
