EIAF 7500 — Louisville City Service Facility <br />K. Project <br />"Project" means the overall project described in Exhibit B, which includes the Work. <br />L. Project Closeout <br />"Project Closeout" means the submission by the Grantee to the State of an actual final Pay Request, a final <br />Status Report and a Closeout Certification. <br />M. Program <br />"Program" means the grant program specified on the first page of this Grant that provides the funding for <br />this Grant. <br />N. Review <br />"Review" means examining Grantee's Work to ensure that it is adequate, accurate, correct and in <br />accordance with the criteria established in §6 and Exhibit B. <br />0. Services <br />"Services" means the required services to be performed by Grantee pursuant to this Grant. <br />P. Status Report(s) <br />"Status Report(s)" means the Grantee's status report(s) on the Work/Project submitted on form(s) provided <br />by the State. <br />Q. Subcontractor <br />"Subcontractor" means third - parties, if any, engaged by Grantee to carry out specific vendor related <br />services. <br />R. Subgrantee <br />"Subgrantee" means third - parties, if any, engaged by Grantee to aid in performance of its obligations. <br />Subgrantee is bound by the same overall programmatic and grant requirements as Grantee. <br />S. Subject Property <br />"Subject Property" means the real property, if any, for which Grant Funds are used to acquire, construct, or <br />rehabilitate. <br />T. Substantial Progress in the Work <br />"Substantial Progress in the Work" means Grantee meets all deliverables and performance measures within <br />the time frames specified in Exhibit E. <br />U. Work <br />"Work" means the tasks and activities Grantee is required to perform to fulfill its obligations under this <br />Grant and Exhibit B, including the performance of the Services and delivery of the Goods. <br />V. Work Product <br />"Work Product" means the tangible or intangible results of Grantee's Work, including, but not limited to, <br />software, research, reports, studies, data, photographs, negatives or other finished or unfinished documents, <br />drawings, models, surveys, maps, materials, or work product of any type, including drafts. <br />5. TERM <br />A. Initial Term -Work Commencement <br />Unless otherwise permitted in §2 above, the Parties' respective performances under this Grant shall <br />commence on the Effective Date. This Grant shall terminate on March 31, 2016 unless sooner terminated <br />or further extended as specified elsewhere herein. <br />B. Two Month Extension <br />The State, at its sole discretion upon written notice to Grantee as provided in §16, may unilaterally extend <br />the term of this Grant for a period not to exceed two months if the Parties are negotiating a replacement <br />Grant (and not merely seeking a term extension) at or near the end of any initial term or any extension <br />thereof. The provisions of this Grant in effect when such notice is given, including, but not limited to <br />prices, rates, and delivery requirements, shall remain in effect during the two month extension. The two - <br />month extension shall immediately terminate when and if a replacement Grant is approved and signed by <br />the Colorado State Controller. <br />Page 4 of 21 <br />
