Any such refund by the School District shall be subject to appropriation by <br />the School District and, if appropriated, refund payments may be made in one total <br />payment or annually in equal payments without interest over the remainder of the initial <br />and renewal term, each of which payments shall be subject to annual appropriation. <br />8.2 The City may terminate this Agreement upon a breach by the School District <br />of any covenants or agreements contained herein if the School District shall fail to correct <br />said breach within sixty (60) days of the receipt of written notice of the breach. Should this <br />Agreement be terminated by the City as the result of the School District's breach, then the <br />School District shall refund to the City the unamortized City contribution for each of the <br />subject facilities (under Section 1.2 and Attachment A) in the same manner as provided <br />above in Section 8.1. <br />8.3 Any permanent improvements or equipment installed on the School Site <br />shall remain the property of the School District if the Agreement is terminated or at the <br />end of the Agreement term unless otherwise agreed to in writing by the parties. <br />8.4 School District shall furnish to City all necessary keys for access subject <br />School District facilities, subject to the procedures implemented by the JUIT. <br /> <br />Section 9 – Miscellaneous Provisions <br /> <br />9.1 This Agreement constitutes the entire understanding between the parties <br />with respect to the subject matter hereof. Nothing in this Agreement shall affect any other <br />agreement between the City and the School District now in effect, except that this <br />Agreement upon its effectiveness shall replace, void, and supersede any and all existing <br />or former joint use or lease agreements for the use of District sites which shall come <br />under the governance of this Agreement. <br /> <br />9.2 Neither party shall extend faith or credit of the other to any third party or <br />entity. <br />9.3 This Agreement shall be binding upon the parties and their successors in <br />interest. <br /> <br />9.4 Any notice required by this Agreement shall be in writing, made by hand- <br />delivery or certified mail, return receipt requested, and addressed to the following: <br /> <br />Assistant Superintendent of Operations <br />Boulder Valley School District <br />P.0.
