Agreement, and each party shall cooperate and take such actions as may <br />be necessary to allow such inspections and audits. BCHA acknowledges <br />that implementation of this Agreement requires calculations based on the <br />amount of fees collected and paid by BCHA with respect to the term of this <br />Agreement and issuance of rebate payment checks in amounts <br />determined pursuant to this Agreement, and that the amounts of the <br />rebate payment checks will be public information. BCHA, for itself, its <br />successors, assigns, and affiliated entities (including without limitation, the <br />Owner), hereby releases and agrees to hold harmless the City and its <br />officers and employees from any and all liability, claims, demands, and <br />expenses in any manner connected with any dissemination of information <br />necessary for or generated in connection with the implementation of <br />rebate provisions of this Agreement. <br />6. Use of Funds; Future Fees. Funds rebated pursuant to Sections 2 and 3 <br />of this Agreement, and the contribution made by the City to BCHA <br />pursuant to Section 4 of this Agreement shall be used by BCHA solely to <br />fund a subordinate loan to be made by BCHA to the Owner to support the <br />construction and long term affordability of the Project. The proceeds of <br />the loan funded by the rebates provided pursuant to Sections 2 and 3 of <br />this Agreement are to be used by the Owner solely for the initial <br />construction of the Project. The proceeds of the loan funded by the <br />contribution in Section 4 shall be used by the Owner for repayment of debt <br />or deferred payment obligations incurred to construct the Project. The <br />financial assistance provided by the City under this Agreement is intended <br />for the benefit of BCHA, and (except for the subordinate loans to be made <br />by BCHA as provided above) are not intended to benefit, or be received <br />by, Owner. Any construction activities subsequent to initial construction of <br />the Project shall be subject to payment without rebate of all applicable <br />building permit fees. <br />7. Entire Agreement. This instrument shall constitute the entire agreement <br />between the City and BCHA for financial assistance and supersedes any <br />prior agreements between the parties and their agents or representatives, <br />all of which are merged into and revoked by this Agreement with respect <br />to its subject matter.
