Section 1. The Council hereby: (a) approves the leasing of the Leased Property from the <br />Bank pursuant to the Lease in exchange for the payment of monthly Base Rental payments and <br />the cost of Additional Rentals as provided in the Lease, (b) approves the Lease, which is <br />presented to the Council in connection with the adoption of this Ordinance in substantially final <br />form; (c) authorizes the Mayor of the City, the Mayor Pro Tem, the City Manager, the Deputy <br />City Manager, and the Finance Director, and all other appropriate officers and employees of the <br />City to execute and deliver the Lease in the form appended hereto with such changes and <br />modifications as are deemed necessary by the City Attorney; and (d) authorizes and directs the <br />performance by the City of its obligations under the Lease in the respective forms in which they <br />are executed and delivered. <br />Section 2. The Council hereby adopts, as if set forth in full herein, all the <br />representations, covenants, agreements, findings, determinations and statements of or by the City <br />set forth in the Lease. <br />Section 3. The officers, employees and agents of the City are authorized and directed to <br />take all action necessary or appropriate to carry out the provisions of this Ordinance and the <br />documents referred to herein and to carry out the transactions described herein or in such <br />documents, including, without limitation, the execution and delivery of such certificates as may <br />reasonably be required by the Bank, relating to, among other matters, the absence of litigation, <br />pending or threatened, and expectations and covenants relating to the exclusion from gross <br />income for federal income tax purposes of the portion of Base Rentals which is designated in the <br />Lease as interest, and any actions and the execution and delivery of any documents necessary or <br />convenient to accomplish the conveyance of the Leased Property to, and acquisition of the <br />Leased Property by, the Bank. <br />Section 4. All actions previously taken by the Council and the officers, employees and <br />agents of the City which are directed toward the transactions described herein or in the <br />documents referred to herein and which are not inconsistent herewith are hereby ratified, <br />approved and confirmed. <br />Section 5. All bylaws, orders, resolutions, and other instruments, or parts thereof, that <br />are in conflict with this Ordinance are hereby repealed, but only to the extent of such conflict. <br />This repealer shall not be construed to revive any bylaw, order, resolution, or other instrument, <br />or part thereof, heretofore repealed <br />Section 6. If any section, paragraph, clause or provision of this Ordinance or any of the <br />documents referred to herein (other than provisions as to the payment of Base Rentals and <br />Additional Rentals by the City during the Lease term, including the requirement that the <br />obligations of the City to pay Base Rentals and Additional Rentals under the Lease are <br />conditioned upon the prior appropriation by the City of amounts for such purposes in accordance <br />with the requirements of the laws of the State, provisions for the quiet enjoyment of the Leased <br />Property by the City during the term of the Lease and provisions for the transfer of the Leased <br />Property to the City or its designee) shall for any reason be held to be invalid or unenforceable, <br />the invalidity or unenforceability of such section, paragraph, clause or provision shall not affect <br />any of the remaining provisions of this Ordinance. <br />Ordinance No. 1695, Series 2015 <br />Page 2 of 4 <br />
