RESOLUTION NO. 39 <br />SERIES 2015 <br />A RESOLUTION APPROVING A FIRST AMENDMENT TO THE AMENDED <br />AND RESTATED BUSINESS ASSISTANCE AGREEMENT WITH CABLE <br />TELEVISION LABORATORIES, INC. FOR THE CONSTRUCTION OF A NEW <br />BUILDING OR MODIFICATION OF THEIR EXISTING LOCATION IN THE <br />CITY OF LOUISVILLE <br />WHEREAS, the successful attraction and retention of high quality development <br />to the City of Louisville provides employment opportunities and increased revenue for <br />citizen services and is therefore an important public purpose; and <br />WHEREAS, it is important for the City of Louisville to retain high- quality jobs <br />and remain competitive with other local govemments in creating assistance for <br />occupancy of commercial space in the City; and <br />WHEREAS, an Amended and Restated Business Assistance Agreement was <br />approved by the Louisville City Council on November 4, 2013; and <br />WHEREAS, Cable Television Laboratories, Inc. completed a major renovation <br />of their existing Louisville location; and <br />WHEREAS, the purchase of qualifying equipment for consumer use tax purposes <br />is done through a third -party lease, where the consumer use tax payments will be made to <br />the City over a 5 year term; and <br />WHEREAS, the First Amendment to the Amended and Restated Business <br />Assistance Agreement between the City and Cable Television Laboratories, Inc., is <br />attached hereto as Exhibit "A" and incorporated herein by this reference to allow for <br />consumer use tax rebates to be paid when consumer use taxes are paid to the City. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF <br />THE CITY OF LOUISVILLE, COLORADO THAT: <br />1. The proposed First Amendment to the Amended and Restated Business <br />Assistance Agreement between the City of Louisville and Cable Television Laboratories, <br />Inc. (the "Agreement ") is hereby approved in essentially the same form as the copy of such <br />Agreement accompanying this Resolution. <br />2. The Mayor is hereby authorized to execute the Agreement on behalf of the <br />City Council of the City of Louisville, except that the Mayor is hereby granted the authority <br />to negotiate and approve such revisions to said Agreement as the Mayor determines are <br />necessary or desirable for the protection of the City, so long as the essential terms and <br />conditions of the Agreement are not altered. <br />Resolution No. 39, Series 2015 <br />Page 1 of 3 <br />
