RESOLUTION NO. 69 <br />SERIES 2015 <br />A RESOLUTION APPROVING A LEASE AGREEMENT BY AND BETWEEN THE <br />CITY OF LOUISVILLE AND HUMAN MOVEMENT INC. <br />WHEREAS, the City of Louisville, Colorado (the "City") is a home rule municipal <br />corporation and is owner of property formerly used as the City Shops Facility, such property <br />consisting of three enclosed buildings, totaling 20,104 square feet, associated sheds, parking and <br />other improvements situated upon approximately 3.63 acres, located at 1501 Empire Road in <br />Louisville and further described and depicted on Exhibit A to the Lease, attached hereto and <br />incorporated herein by reference (the "Premises"); and <br />WHEREAS, the City desires to enter into a lease agreement for leasing of the Premises and <br />the City Council of the City (the "Council") has sought proposals from interested parties to lease all <br />or a portion of the Premises; and <br />WHEREAS, a lease agreement has been proposed between the City and Human Movement <br />Inc., (the "Lessee") setting forth the terms upon which the Lessee will lease the Premises from the <br />City for office, industrial purposes, event and other purposes; and <br />WHEREAS, the City is authorized to enter into such lease agreement pursuant to its <br />home rule charter and other city ordinances, and desires by this resolution to approve same and <br />authorize its execution; and <br />WHEREAS, the Council hereby finds and determines that the execution of the proposed <br />lease agreement is appropriate and necessary to the functions and operations of the City; and <br />WHEREAS, the Council desires to approve the lease agreement and authorize its <br />execution. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE <br />CITY OF LOUISVILLE, COLORADO: <br />1. The proposed Lease Agreement (the "Lease Agreement") between the City of <br />Louisville and Human Movement Inc., for the lease of the approximately 3.63 acre Premises <br />located at 1501 Empire Road in Louisville is hereby approved in essentially the same form as the <br />copy of such Lease Agreement accompanying this Resolution. <br />2. The Mayor is authorized to execute such Lease Agreement on behalf of the City, <br />and the Mayor and the City Manager, or either of them, are hereby further granted the authority to <br />negotiate and approve such revisions to said Lease Agreement as the Mayor or City Manager <br />determines are necessary or desirable for the protection of the City, so long as the essential terms <br />and conditions of the Lease Agreement are not altered. <br />Resolution No. 69, Series 2015 <br />Page 1 of 2 <br />
