16.2 Colorado law shall apply to the construction and enforcement of this Agreement. The <br />parties agree to the jurisdiction and venue of the courts of Boulder County and the federal <br />district court for the District of Colorado in connection with any dispute arising out of or <br />in any matter connected with this Agreement. <br />16.3 In an effort to resolve any conflicts that arise during the design and construction of the <br />Project or following the completion of the Project, the City and the Consultant agree that <br />all disputes between them arising out of or relating to this Agreement or the Project shall <br />be submitted to non - binding mediation. If such nonbinding mediation does not result in <br />the resolution of the dispute within forty -five (45) days after the date that either party <br />submits the issue to mediation, then any party may pursue all legal or equitable remedies <br />available to it." <br />17.0 COMPLIANCE WITH LAWS; WORK BY ILLEGAL ALIENS PROHIBITED <br />17.1 Contractor shall be solely responsible for compliance with all applicable federal, state, <br />and local laws, including the ordinances, resolutions, rules, and regulations of the City; <br />for payment of all applicable taxes; and obtaining and keeping in force all applicable <br />permits and approvals. <br />17.2 Exhibit B, the "City of Louisville Public Services Contract Addendum - Prohibition <br />Against Employing Illegal Aliens ", is attached hereto and incorporated herein by <br />reference. There is also attached hereto a copy of Contractor's Pre - Contract Certification <br />which Contractor has executed and delivered to the City prior to Contractor's execution <br />of this Agreement. <br />18.0 INTEGRATION AND AMENDMENT <br />This Agreement represents the entire Agreement between the parties and there are no oral or <br />collateral agreements or understandings.
