FIFTH INTERIM AGREEMENT BETWEEN THE <br />MUNICIPAL SUBDISTRICT, <br />NORTHERN COLORADO WATER CONSERVANCY DISTRICT <br />WINDY GAP FIRMING PROJECT WATER ACTIVITY ENTERPRISE, <br />AND <br />CITY OF LOUISVILLE <br />FOR PARTICIPATION IN THE <br />WINDY GAP FIRMING PROJECT <br />® <br />This Agreement is made and entered into as of / ' n ° "�� 2 Z, 201, by and <br />between the Municipal Subdistrict, Northern Colorado Water Conservancy District (a <br />quasi -municipal entity and political subdivision of the State of Colorado) (the "Subdistrict"), <br />acting by and through its Windy Gap Firming Project Water Activity Enterprise (a <br />government-owned business within the meaning of Article X, Section 20(2)(d), of the Colorado <br />Constitution, organized pursuant to C.R.S. §§ 37-45.1-101 et seq.), whose address is 220 Water <br />Avenue, Berthoud, Colorado 80513 (the "WGF Enterprise"), the City of Louisville whose <br />address is 749 Main Street, Louisville, Colorado 80027-1829 ("Participant"). <br />Recitals <br />A. The WGF Enterprise is developing a water storage project (the "Project") for the purpose <br />of storing water produced by the Windy Gap Project, or other water that is physically and <br />legally capable of being introduced into the Project from the facilities of the <br />Colorado -Big Thompson Project. <br />B. Overall Project costs will be divided among the entities which participate in the Project. <br />C. The First Phase of the Project consisted of preliminary studies to evaluate potential <br />reservoir sites. The First Phase has been accomplished and there appear to be a number of <br />potential reservoir sites that may serve the needs of the Project. <br />D. The Second Phase of the Project consisted of engineering work, environmental studies, <br />alternatives analysis and related work. The Second Phase is complete. <br />E. The Third Phase of the Project, consisted of environmental and other permitting, further <br />engineering studies, and preliminary design work, but not land acquisition. <br />F. The Fourth Phase of the Project consisted of a continuation of the activities started in the <br />Third Phase, plus land acquisition. The environmental permitting is not complete, but <br />project participants desire to move into the Fifth Phase of the Project. <br />G. The Fifth Phase of the Project consists of continuation of work to obtain local, state and <br />federal permits and approvals required for the Project; detailed engineering design <br />including preparation of plans and specifications for contractor procurement; additional <br />land acquisition; planning and implementation of required mitigation and enhancement <br />measures; development of contracts and other agreements that will be required to <br />H \managmnt\AGREEMNT\2015\WGFP 5th Intenm Agreement\12-10-15 Louisville WGFP Fifth Intenm Agreement docx Page 1 <br />
