AGREEMENT <br />TO FURNISH LOBBYIST SERVICES <br />TO THE <br />US 36 MAYORS AND COMMISSIONERS COALITION <br />THIS AGREEMENT, made and entered into effective as of the 15th day of May, 2008, between <br />the CITY OF LOUISVILLE, hereinafter referred to as the "City," and Boyagian Consulting, LLC, <br />hereinafter referred to as the "Lobbyist," is as follows: <br />WHEREAS, the US 36 Mayors and Commissioners Coalition, hereinafter referred to as the "US <br />36 MCC," wishes to better promote its position on US 36 transportation issues of concern at the regional, <br />state and federal levels, be it legislative, regulatory, or other; and <br />WHEREAS, the City of Louisville desires to act on behalf of the US 36 MCC in engaging the <br />Lobbyist to render the professional lobbying services described in this Agreement and the Lobbyist is <br />qualified and willing to perform such services; and <br />WHEREAS, the cities of Boulder, Westminster, Superior, and Louisville, the City and County of <br />Broomfield, and Boulder County have agreed to mutually participate in the funding of the Lobbyist; and; <br />WHEREAS, it has been proposed that the lobbyist services desired by the US 36 MCC be provided <br />pursuant to two separate agreements between the City and Dutko Washington, LLC and the City and <br />Boyagian Consulting, LLC, with the Lobbyist and Dutko Consulting, LLC to cooperate to provide <br />lobbyist services to the US 36 MCC; and <br />WHEREAS, sufficient authority exists in charter and statute and sufficient funds have been <br />budgeted for the purposes of this Agreement and are available and other necessary approvals have been <br />obtained. <br />NOW, THEREFORE, in consideration of the mutual understandings and agreements set forth, the <br />City and the Lobbyist agree as follows: <br />I. THE PROJECT <br />The Project consists of advocating the US 36 MCC's position on pertinent legislative, regulatory <br />and other issues (regional, state, federal) and advising the US .S6 MCC in the handling of miscellaneous <br />legislative/intergovernmental issues that may arise on which the Lobbyist is utilized. <br />IL TERM <br />The Lobbyist's services are anticipated to be provided between May 15, 2008 and February 15, <br />2009. The City may extend the term of this Agreement beyond such one year, upon notice to the <br />Lobbyist, as the City determines necessary for smooth progress of the Project and completion of <br />Lobbyist's services. The Lobbyist shall provide services at such times as are necessary in order to <br />promote such smooth progress of the Project. <br />III. LOBBYIST'S SERVICES <br />In connection with the Project, the Lobbyist shall undertake the duties and responsibilities and provide the <br />services described in Appendix A, captioned "Mayors and Commissioners Coalition Scope of Work," <br />
