RESOLUTION NO. 44 SERIES 2016 A RESOLUTION APPROVING A FIRST AMENDMENT TO AGREEMENT FOR DELEGATION OF ACTIVITIES, FOR THE BOULDER COUNTY COLLABORATIVE CDBG-DR SUB -ALLOCATION FOR THE CITY OF LOUISVILLE RAW WATER DIVERSION IMPROVEMENTS PROJECT WHEREAS, the City of Louisville ("City") and the City of Longmont have previously entered into an Agreement for Delegation of Activities dated April 5, 2016 for the City of Louisville's Raw Water Diversion Improvements Project (Boulder County Collaborative CDBG- DR Sub -Allocation, Grant No. B -13 -DS -08-001: INF -00006, hereinafter the "Agreement"); and WHEREAS, an amendment to the Agreement has been proposed between the City and the City of Longmont to further clarify the delegation of authority to the City of Louisville's City Manager and to amend Appendix A - Work Program and Appendix B = Budget of the Agreement; and WHEREAS, the City Council finds that the proposed amendment is in the best interests of the City and its citizens; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: 1. The City Council hereby approves the proposed First Amendment to Agreement for Delegation of Activities between the City of Louisville and the City of Longmont ("Amendment"), in essentially the same form as the copy of such Amendment accompanying this Resolution. 2. The Mayor and City Manager, or either of them, is authorized to execute the Amendment on behalf of the City, except that the Mayor and City Manager, or either of them, are each hereby further granted authority to negotiate and approve such revisions to said Amendment as the Mayor or City Manager determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions of the Amendment are not altered. 3. The Mayor, City Manager, Deputy City Manager, City Water Resources Engineer and other City staff are hereby authorized to execute all documents and do all other things necessary on behalf of the City to perform the obligations of the City under the Amendment.
