RESOLUTION NO.65 <br />SERIES 2016 <br />A RESOLUTION APPROVING A TWENTIETH AMENDMENT TO THE <br />PURCHASE AND SALE AGREEMENT BY AND BETWEEN LOUISVILLE <br />MILL SITE, LLC AND THE CITY OF LOUISVILLE <br />WHEREAS, the City of Louisville ("City") is the owner of that certain real <br />property totaling 1.069 acres, more or less, commonly referred to as the downtown <br />Louisville Grain Elevator site located at 540 and 544 Front Street, which property is <br />legally described on Exhibit A attached hereto and incorporated herein by reference (the <br />"Property"); and <br />WHEREAS, the historic Louisville Grain Elevator on the Property is a <br />significant historic structure in the community which helps tell the story of the area's <br />agricultural history; and <br />WHEREAS, the preservation, restoration and rehabilitation of the historic <br />Louisville Grain Elevator is a project worthy of funding from the City's Historic <br />Preservation Fund (HFP); and <br />WHEREAS, A Purchase and Sale Agreement ("Agreement") between the City <br />and Louisville Mill Site, LLC, ("LMS") was approved on August 20, 2013 by Resolution <br />No. 3, Series 2013; and <br />WHEREAS, the Parties previously executed nineteen Amendments to the <br />Purchase and Sale Agreement to modify terms of the Agreement, and the original <br />agreement as amended by said amendments is hereafter referred to as "the Agreement;" <br />and <br />WHEREAS, Purchaser and Seller desire to further amend the Agreement to <br />modify the provisions thereof regarding the Scope of Work and other terms within the <br />Agreement. <br />WHEREAS, City Council by this Resolution desires to approve a Twentieth <br />Amendment to the Purchase and Sale Agreement and authorize its execution; <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF <br />THE CITY OF LOUISVILLE, COLORADO: <br />Section_1. The proposed Twentieth Amendment to the Purchase and Sale <br />Agreement ("Agreement") between City of Louisville and Louisville Mill Site, LLC is <br />hereby approved in essentially the same form as the copy of such Agreement <br />accompanying this Resolution. <br />Resolution No. 65, Series 2016 <br />Page 1 of 2 <br />
