DRAFT POLICY <br />Definitions <br />A "non-profit organization" or "NPO" means a non-profit corporation organized under the laws <br />of the State of Colorado. <br />A "Louisville NPO" currently includes any of the following: Louisville Cultural Council, Senior <br />Advisory Board, Louisville Library Foundation, Louisville Historical Foundation, and Louisville Friends of <br />the Arboretum. <br />The "City" means the City of Louisville and any board, commission, committee, or task force <br />established by, and whose members are appointed by, the City Council. <br />"City Assistance" includes grants and monies provided by the City and services provided by City <br />employees, but excludes the use of City -owned facilities. <br />"Louisville NPO Board Member" means the member of a board of directors of a Louisville NPO. <br />"Board/Commission Member" means a member of a Louisville board, commission, committee, <br />or task force and appointed by the City Council. <br />"Related Louisville NPO" means a Louisville NPO that is associated with a specific City board or <br />commission. <br />Board/Commission Members, City Employees, and Louisville NPO Board Members <br />1. City employees may not serve as Louisville NPO Board Members in any capacity. <br />2. Board/Commission Members may be involved in the activities of other City boards or <br />commissions on which they do not officially serve and in the activities of Louisville NPOs. <br />3. A Board/Commission Member generally may serve as a Louisville NPO Board Member, <br />including as a board member of a Related Louisville NPO, with one exception. A Board/Commission <br />Member may not serve on the board of directors of a related Louisville NPO if by doing so, that board of <br />directors would become controlled by a majority of Board/Commission Members. <br />4. Selection by the City Council to any City board or commission shall not require that <br />Board/Commission Member to become a Louisville NPO Board Member. <br />Conditions for Receipt of City Assistance by Louisville NPOs <br />As a condition of receiving City Assistance: <br />1. The NPO shall carry, at its own cost, liability insurance covering the actions of its board, <br />directors, employees, agents, and program participants in the amount of not less than $1,000,000 per <br />claim/occurrence. Such a policy must list the City of Louisville as an additional insured. The NPO shall <br />provide to the City a Certificate of Insurance at least annually and as specifically requested by the City <br />for any year in which City Assistance is received or a City facility is used. <br />
