2. Purpose. The Easement Property may be used for ingress, egress, material <br />storage, construction, and construction staging on, over, under, and across the Easement <br />Property. <br />3. Term. The term of this Easement shall begin on the date it is executed by all <br />parties and shall expire one year later, unless extended in writing or terminated as provided in <br />this Paragraph. Grantor or Grantee may terminate this Easement upon thirty (30) days' written <br />notice to the other party, except that: a) Grantee may not terminate the Easement to discharge its <br />obligation to remediate or reclaim damage to the Easement Property; and b) if Grantee violates <br />federal, state, or local laws or regulations or the terms of this Easement, the Grantor may <br />terminate this Easement immediately. <br />4. Construction, Improvements and Maintenance. Within the Easement Property, <br />Grantee may access, survey, construct, install, operate, repair, reconstruct, alter, inspect, and <br />maintain one underground domestic water pipeline; and use and have reasonable ingress and <br />egress along and across the Easement Property for personnel, equipment, and vehicles. Grantee <br />shall not pave or otherwise create an impermeable surface over any portion of the Easement <br />Property. <br />4.1 All use of the Easement Area shall be accomplished with all reasonable <br />care and shall follow the guidelines described on Exhibit D for conducting the work <br />("Guidelines for Conducting Work on the Easement Property"), the provisions of which <br />shall be administered and enforced by the County of Boulder for and on behalf of <br />Grantor. Said guidelines are designed to minimize impacts to the Easement Property, <br />Grantor's Property, and its natural resources. <br />4.2 Grantee shall contain all work activities within the Easement Property and <br />shall not affect any other portion of Grantor's Property. <br />4.3 Grantee must comply with all Boulder County land use regulations, <br />including, without limitation, obtaining all necessary approvals and permits for the uses <br />permitted hereunder. <br />4.4 Grantee shall be responsible for all construction costs and any repairs or <br />maintenance necessary for its construction, maintenance and/or use of the Easement <br />Property. Grantee shall restore the Easement Property to its prior condition, including all <br />improvements thereon, including but not limited to, fences, drain tiles, irrigation systems, <br />landscaping, and roads, and shall pay Grantor for damages to Grantor's Property, <br />including, but not limited to, damage to growing crops, livestock, and other damages <br />caused by Grantee's activities. <br />4.5 Grantee shall comply with all of the terms and specifications of the <br />reclamation plan attached hereto and incorporated herein by this reference as Exhibit E <br />Callahan Open Space Access and Utility Easement <br />2 <br />
