EXHIBIT B <br />RECIPROCAL DEED OF CONSERVATION EASEMENT IN GROSS <br />This Deed of Conservation Easement in Gross (the "Easement") is entered into this <br />day of August, 2017, by and between ("Grantor"), and <br />(collectively, the "Grantee") The Grantor and Grantee shall be known herein <br />collectively as the "Parties" <br />RECITALS <br />This Deed of Conservation Easement m Gross is made with respect to the following <br />facts <br />A Grantor and Grantee, pursuant to that/those certain deed/s recorded m the Boulder <br />County Clerk and Recorder's Office at Reception No/s /and , are <br />tenants in common of the property descnbed on Exhibit 1 and generally depicted on Exhibit 2 <br />and certain water nghts necessary to the continuation of agricultural production (the "Property") <br />For purposes of this Easement, the term "Property" shall hereinafter mean the Grantor's <br />undivided % interest in the Property <br />B Pursuant to that certain Intergovernmental Agreement Concerning the Purchase of the <br />Mayhoffer 3 Open Space Property between the Parties, the County will manage the Property, and <br />all costs incurred with the management of the Property and all proceeds of any lease of the <br />Property shall be County's, if and until the Parties agree otherwise in wnting <br />C The Property's open space values are of great importance to Grantor, Grantee and the <br />people of the County of Boulder, and are worthy of preservation <br />D The Parties desire to restrict the use of the Property m such a manner that protects the <br />Property's agncultural and open space values, and preserves the Property in its present condition <br />for agricultural and open space uses and prohibits further development on the Property <br />E The Parties recognize the public benefit to be served by such preservation as described in <br />the Boulder County Comprehensive Plan and the cities of Louisville and Lafayette's plannmg <br />documents <br />F The State of Colorado has recognized the importance of efforts to preserve land in a <br />natural, scemc, historical or open condition, and for wildlife habitat and agricultural uses <br />consistent with the protection of open land havmg undisturbed or restored environmental quality, <br />by the enactment of C R S §§ 38-30 5-101, et seq <br />Mayhoffer 3 IGA <br />8 <br />
