substantially dmumsh, matenally impair, or adversely impact any of the Property's <br />Conservation Values <br />4 17 Removal, alteration, impairment, modification, or adverse change to any <br />ditch, creek, stream, river, stream channel, npanan comdor, wetland, pond or lake edge, <br />except as otherwise permitted m this Easement and except to the minimal extent <br />necessary for a ditch company to maintain its ditches or for Grantor to beneficially use <br />the Water Rights on the Property <br />418 Except as used m the normal course of conducting any permitted <br />activities, use of motorized vehicles, including motorcycles, motorized bicycles or <br />tricycles or all -terrain vehicles, except on roads or trails existing as of the date of this <br />Easement <br />5 Subdivision The Property shall be held as one unit, and any division of the <br />Property (whether or not a subdivision as defined by state law) is strictly prohibited. Grantor may <br />not convey a portion of the Property as said conveyance would constitute an impermissible <br />division of the Property under this Easement If the Property is divided by operation of law, all <br />terms of this Easement shall attach to the land and shall survive any division <br />6 Annexation Grantor shall not apply/petition for, or consent to, the annexation of <br />the Property to any municipality without the consent of Grantee Any such consent shall be by <br />resolution of the Board of County Commissioners and be recorded in the office of the Boulder <br />County Clerk and Recorder <br />7 Mining The mining or extraction of soil, sand, gravel, rock, oil, natural gas, fuel, <br />or any other mineral substance shall be prohibited upon or within the Property Grantor shall not <br />transfer, lease or otherwise separate the soil, sand, gravel, rock, oil, natural gas, fuel or any other <br />mineral substance from the Property <br />8 Telecommunications The erection, construction, installation, relocation or use of <br />a communication facility, a telecommunication facility, a network element, telecommunication <br />equipment or any other equipment (except for Customer Premises Equipment) or matenal that <br />may be used for telecommumcations or to provide telecommunications services as such terms <br />are defined in The Federal Telecommumcation Act of 1996 is strictly prohibited <br />9 Conveyance of Right -of -Way The conveyance of any nght-of-way or the <br />construction of any roadways is stnctly prohibited without the wntten consent of Grantee, which <br />consent shall be in Grantee's sole discretion Any such permitted roadways shall be constructed <br />so as to minimize the impact on the purpose of this Easement <br />10 Utilities Except as allowed under any existmg utility easements, or under any <br />additional utility easements that may be established pursuant to an exercise of eminent domain, <br />or as is necessary to conduct any of the permitted uses of this Easement, no new utility <br />Mayhoffer 3 IGA <br />13 <br />
