CITY OF LOUISVILLE, COUNTY OF BOULDER, STATE OF COLORADO _____________________________________________________________________________ IN RE THE APPOINTMENT OF DIRECTORS TO THE BOARD OF DIRECTORS OF THE TAKODA METROPOLITAN DISTRICT, CITY OF LOUISVILLE, COUNTY OF BOULDER, STATE OF COLORADO ______________________________________________________________________________ RESOLUTION NO. 34 SERIES 2020 RESOLUTION OF APPROVAL WHEREAS, there was filed with the City of Louisville, Boulder County, Colorado (the “City Council”), a Petition of the Board of Directors of the Takoda Metropolitan District, in the City of Louisville, Boulder County, Colorado, Requesting the City Council for the City of Louisville Appoint David Waldner to the Board of Directors (the “Petition”); and WHEREAS, the organization of the Takoda Metropolitan District (the “District”) was preceded by the approval of a Service Plan by the City Council in accordance with Article 1 of Title 32 of the Colorado Revised Statutes (the “Special District Act”); and WHEREAS, the District is located entirely within the City of Louisville; and WHEREAS, pursuant to the provisions of Title 32, Article 1, Part 9, C.R.S. as amended, the City Council considered the Petition at a public meeting on May 5, 2020; and WHEREAS, the City Council has considered the Petition and all other relevant information and documentation regarding the requested appointment, including interest expressed by other qualified persons to serve on the District Board; and WHEREAS, based upon the evidence, the City Council finds that appointment of those persons set forth herein to the Board of Directors for the District should be approved by the City Council, in accordance with Section 32-1-905, C.R.S., as amended. THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: Section 1. That the City Council, as the governing body of the City of Louisville, Colorado, has jurisdiction over the appointment of directors to the Board of Directors for the District under Section 32-1-905(2.5), C.R.S. Section 2. That the City Council does hereby determine, based on representations made by and on behalf of the District, that appointment of directors to the Board of Directors for the District is necessary to avoid an interruption in the services provided by the District. Section 3. That, pursuant to Section 32-1-905, C.R.S., the City Council does hereby find and determine, based on the Petition, representations by and on behalf of the District, and other evidence considered at the public hearing, that the appointment of the following persons to the
